Description of Facilities. Upon the terms and subject to the conditions set forth in this Agreement: (i) the Lenders hereby grant to the Borrower a short term revolving credit facility (the "364 DAY FACILITY") and a multi-year revolving credit facility (the "FIVE YEAR FACILITY") pursuant to which each Lender severally agrees to make Revolving Credit Loans to the Borrower in Dollars in accordance with Section 2.2 and the Swingline Lender agrees to make Swingline Loans to the Borrower in Dollars in accordance with Section 2.6 and (ii) the parties hereto agree that each Lender may, in its sole discretion, make bids to make Competitive Bid Loans to the Borrower in Dollars in accordance with Section 2.5; PROVIDED that (A) the aggregate principal amount of all outstanding Revolving Credit Loans (after giving effect to any amount requested) made under the 364 Day Facility shall not exceed the 364 Day Facility Commitment LESS the aggregate principal amount of all outstanding Competitive Bid Loans made under the 364 Day Facility; and the aggregate principal amount of outstanding Revolving Credit Loans made under the 364 Day Facility by any Lender shall not at any time exceed such Lender's 364 Day Facility Commitment; and (B) the aggregate principal amount of all outstanding Revolving Credit Loans (after giving effect to any amount requested) made under the Five Year Facility PLUS the aggregate principal amount of all outstanding Swingline Loans made under the Five Year Facility (after giving effect to the amount of any Swingline Loans requested under the Five Year Facility and exclusive of Swingline Loans made under the Five Year Facility which are repaid with the proceeds of, and simultaneously with the incurrence of, Revolving Credit Loans under the Five Year Facility) shall not exceed the Five Year Facility Commitment LESS the sum of (x) all outstanding L/C Obligations PLUS (y) the aggregate principal amount of all outstanding Competitive Bid Loans made under the Five Year Facility; and the aggregate principal amount of outstanding Revolving Credit Loans made under the Five Year Facility by any Lender shall not at any time exceed such Lender's Five Year Facility Commitment. Each Revolving Credit Loan made by a Lender under the 364 Day Facility or the Five Year Facility shall be in a principal amount equal to such Lender's Commitment Percentage of the aggregate principal amount of Revolving Credit Loans requested under such facility on such occasion.

Description of Facilities. The Fresno Transaction consists of a 21 MW simple cycle peaking plant utilizing Xxxxx & Xxxxxxx FT4 Power Pac combustion turbine-generator set (“CT”) designed to convert natural gas to electricity located at 0000 Xxxxx Xxxxxx Xxxxxx, Xxx Xxxxxxx, CA, 93660 at an elevation of 280 feet above mean sea level (“Site”) and interconnected to the CAISO- controlled grid via the Agrico tap off of the Xxxxxx-Xxxx 70 KV transmission line. The CT fires natural gas using combustion and emissions control technology that will limit NOx emissions to no greater than 5 PPM. Pursuant to the terms and conditions below, Seller will receive natural gas pursuant to the Approved Fuel Plan at the Unit’s Gas Receipt Point and deliver the Final Physical Energy Schedule to DWR at the Unit’s Energy Delivery Point.

Description of Facilities. Developers shall construct all necessary on-site wastewater facilities in accordance with City standards in effect at the time of construction, which shall be constructed in phases over the course of Project buildout as described in the Specific Plan. Upon completion, inspection, testing, and acceptance by the City Manager or designee, any such improvements shall be dedicated to and accepted by the City. Developers shall pay the City’s sewer connection fee at certificate of occupancy for each unit, and shall be entitled to a fee credit against such fee for the costs of such improvements in the amounts set forth on Exhibit C-1.
Description of Facilities. Developers shall construct all necessary on-site water facilities, which shall be constructed in phases over the course of Project buildout as described in the Specific Plan. The water facilities will be designed and constructed to meet all applicable water supply, fire protection and operating criteria, as established by Applicable Law and by the City’s Water Division Manager or City Engineer. Developers shall be responsible for planning, designing, and constructing all water facilities, and upon completion, all water facilities will be tested by, dedicated to, and accepted by the City. Description of Facilities. Development of the Project will include construction of on-site drainage facilities, including drain lines, detention basins, drainage outfalls and water quality treatment basins, which shall be designed to detain flows up to the 100-year flood event, back to historic flow rates. Developers shall construct the drainage facilities in phases over the course of Project buildout as described in Specific Plan and the Stormwater plan for the development. Developers will be responsible for planning, designing and constructing all drainage facilities required to meet City, state, and federal standards and requirements. Upon completion, the on-site drainage facilities (other than landscaping associated with on-site water quality basins) will be dedicated to, and accepted by, the City.
