Delivery to Buyer. Seller will deliver SRECs using GATS (as defined in the Master Agreement). Buyer has registered an account with GATS named “ ” (“Buyer’s Account”) to accept delivery of the SRECs from Seller. Seller shall cause the permanent transfer of SRECs to Buyer’s Account(s) by no later than midnight on the Delivery Date. Seller will notify Buyer upon completion of the transfer, at which time delivery shall be deemed complete. Failure to make delivery on the day scheduled due to Buyer’s action or inaction, or due to problems with GATS shall not be deemed to be a default by Seller. In such event, Seller shall deliver the applicable SRECs within three (3) Business Days of Seller being advised of the correction of the problem that prevented transfer.
Delivery to Buyer. Buyer has received a copy of the Preliminary Title Report No. dated (“Preliminary Report”), issued by Title Insurer reflecting the status of title to the Property.
Delivery to Buyer. At Closing, Buyer shall deliver to Seller, the Purchase Price referred to in section 2. 1.
Delivery to Buyer. Immediately following the execution of this Agreement by Seller, Seller shall order from the Title Company a current Preliminary Title Report or Commitment (hereinafter the "Title Report") covering the real property comprising the Site and two (2) copies of all instruments referred to in said Title Report. The Title Report and instruments shall be delivered to Buyer by Seller immediately upon receipt.
Delivery to Buyer. At the date of dispatch of part of or of all the Services, the SELLER shall issue the corresponding invoice itemized for payment of said items. Delivery to Buyer. Client or the buyer will arrange for transport of the Crop from Client to the buyer. Client in its sole discretion may determine methods and terms of transport.
Delivery to Buyer. As soon as reasonably possible after Opening ----------------- of Escrow, Escrow Agent shall provide to Buyer, at Seller's expense, a preliminary report ("PR") issued by First American Title Insurance Company ("Title Insurer"), identified as Order No. 1249556-11, reflecting the status of title to the Property, together with copies of all recorded documents referred to therein. The PR will be deemed received by Buyer on the date of personal delivery or three (3) days after mailing by Escrow Agent.
Delivery to Buyer. Delivering to Buyer the (a) Bill xx Sale, (b)EFIRPTA affidavits, (c) Certificates of Authorization, (d) Seller's Certificate of Reaffirmation of Representations, (e) a counterpart of Buyer's Closing Instructions executed by the Title Company, (f) the Affidavit of Title, (g) the Transferable Warranties and Assignment, and (h) the Updated Rent Roll. Delivery to Buyer. Components shall be re-delivered to Buyer Ex-works Seller's Facility. Buyer expressly agrees that Seller may withhold from Buyer any Component for which it has not been paid in accordance with this Agreement. Packaging Repaired or Overhauled Components shall be packed in suitable packaging.
