However, the Company cannot and does not represent or warrant that such products, work, services or shipments will be delivered by any particular date, unless otherwise agreed by the Company. Delivery Terms and Conditions. Lexicon shall be responsible for making shipping arrangements for all Knock-Out Mice to be shipped to Genentech from Lexicon; provided that Genentech shall be responsible for (i) paying all shipment and delivery charges in connection therewith and (ii) obtaining, if desired, and paying for any insurance for Knock-Out Mice shipped to Genentech from Lexicon. Genentech shall also be responsible for complying with all customs, regulations, veterinary handling procedures and protocols, and obtaining any and all permits, forms or permissions that may be required for Genentech to accept shipment of Knock-Out Mice from Lexicon. Lexicon shall ship to Genentech [**] Knock-Out Mice, [**], promptly following its receipt of written notice that Genentech is prepared to accept shipment. Delivery Terms and Conditions. Regeneron shall be responsible for (a) making arrangements for all Mice identified in Exhibit A to be shipped from Regeneron to Company or any Approved Third Party; Regeneron shall take reasonable steps to ensure that all Mice shall be free of any pathogen prior to shipment; (b) the proper packaging of Mice, such packaging to comply with Applicable Law and Regeneron’s veterinary handling procedures and protocols; and (c) shipment of all such Mice. All Mice identified in Exhibit A will be shipped ***************** to such Sites as Company may designate from time to time (Incoterms 2000). The Mice to be shipped promptly following the Effective Date pursuant to Section 1.35 shall be sent to the Site designated by Company. Delivery Terms and Conditions. Mode of supply/delivery place The utilities are supplied at the Site by using the existing utility grid. Limitation or interruption of supply Pernis SUMF Agreement (Kraton/SNR) 1 Supplier will act in accordance with the standards of a reasonable and prudent operator. Supplier and Purchaser recognise that the delivery of utilities can be limited or interrupted for a certain amount of time, meaning that Supplier may not be able to supply steam during a period of Force Majeure, planned maintenance, unplanned maintenance or forced outage. (Ref: Schedule 4Curtailment Procedures”) In the event that Supplier becomes aware that it cannot deliver utilities as requested by the Purchaser at a certain moment in time, Supplier shall, as soon as reasonably practicable, inform Purchaser on this. Measurement of supply quantity to Purchaser Where available, measurement is based upon meters. Whenever more consumers are supplied via one shared meter, supply quantity will be based on a fixed fraction of the quantity as measured by the shared meter. Determination of this fixed fraction will be based upon best information available. Where no metering exists, supply quantities are based upon technologically derived consumption estimates. Unbalances between supply and Purchaser’s received quantities will be corrected in accordance with the Site utility accounting procedure. Supplier will do final allocation of unbalances and supplied quantity. It is the intention of Supplier, in cooperation with Shell Nederland Chemie, to install calibrated metering at cost of Supplier as soon as practically possible for all major utility streams, for example using windows provided by turnarounds. Upon request by Purchaser additional calibrated metering can be installed by Supplier at cost of Purchaser. After installation of calibrated metering the Site utility accounting procedure will be adjusted so that the supply quantity of a certain utility stream will be based only on the calibrated meter suitable for the duty. Title and risk Title and risk passes at Delivery Point. The Delivery Point will be at the boundary fence of Purchaser’s site where the delivery pipe crosses such boundary fence, and the tie-in point will be where the delivery pipe connects with the Purchasers utility system.
