Common use of Delivery of Books and Records Clause in Contracts

Delivery of Books and Records. After the Closing, Seller shall deliver to the offices of Purchaser's property manager or to the Real Property to the extent in Seller's or its property manager's possession or control: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

Delivery of Books and Records. After the Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's ’s possession or control: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

After the On or prior to Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's or its property manager's ’s possession or control: Lease Files; License Agreements; copies of all maintenance records and warrantiesrecords; plans and specifications; licenses, permits and certificates of occupancy; copies or provided, however, the originals of all books and records the same shall not be delivered until termination of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keysthe applicable Lease.

After the Closing, Seller shall deliver to the offices of Purchaser's property manager or to leave at the Real Property to the extent in Seller's or its property manager's ’s possession or control: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, unpaid bills and copies other papers or documents which pertain to the Property, keys, and other items, if any, used in the operation of correspondence with tenants and suppliers; all advertising materials; booklets; and keysthe Property.

After the Closing, Seller shall deliver to the offices of Purchaser's property manager or to the Real Property to the extent in Seller's or its property manager's possession or control: Leases; Lease Files; Service Contracts; License Agreements; maintenance records records, guaranties and warranties; plans and specifications; licenses, permits permits, approvals and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

After the Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's possession or control’s possession: originals of the Leases, License Agreements and Service Contracts and Lease Files; License Agreementsfiles; maintenance records records, operating manuals and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

After Within one (1) business day after the Closing, Seller shall deliver to the offices of Purchaser's Buyer or Buyer’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's ’s possession or control: Lease Files; License Agreementslease and lease files; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancypermits; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and supplierspapers or documents which pertain to the Property; all advertising materials; booklets; and keysother items, if any, used in the operation of the Property, and all keys for the Property.

After the Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's ’s possession or control: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants Tenant and suppliers; all advertising materials; booklets; and keys.

After Promptly after the Closing, Seller shall deliver to the offices of Purchaser's property manager or to the Real Property to the extent in Seller's or its property manager's possession or control: Lease Files; Property Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

Delivery of Books and Records. After Promptly after the Closing, Seller Sellers shall deliver make available to Purchaser, at the Real Property, the following items, to the offices of Purchaser's property manager or to extent currently located at the Real Property to the extent and in Seller's Sellers’ or its their property manager's ’s possession or control: existing Lease FilesFiles located at the Real Property; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

After the Closing, Seller shall deliver to the offices of Purchaser's property manager or to the Real Property to the extent in Seller's or its property manager's possession or control: All original Leases, Lease guaranties, and License Agreements; Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

After the Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's possession or control’s possession: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

After the Closing, to the extent copies of the same were not previously delivered by Seller to Purchaser, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's possession or control’s possession: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; bookletsthe assumed Service Contracts; and keys.

After the Closing, Seller shall deliver to the offices of Purchaser's property manager or to the Real Property manager, to the extent in Seller's or its property manager's possession or control: Lease Files; copies of any License AgreementsAgreements and Service Contracts; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

Delivery of Books and Records. After At the Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's ’s possession or control: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

Delivery of Books and Records. After the Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's ’s possession or control: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants Tenant and suppliers; all advertising materials; booklets; and keys. The terms of this Section 7.8 shall survive the Closing.

Delivery of Books and Records. After Immediately after the Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent manager: if in Seller's ’s or its property manager's ’s possession or control: Lease Files, the original Service Contracts; License Agreements; maintenance records all permits and warranties; keys and other items, if any, used in the operation of the Properties; the original “as-built” plans and specification; all other available plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence operation manuals. Seller shall cooperate with tenants and suppliers; all advertising materials; booklets; and keysPurchaser after Closing to transfer to Purchaser any such information stored electronically.

Delivery of Books and Records. After Prior to or at the time of the Closing, Seller shall deliver the following to the offices of Purchaser's property manager or to the Real Property Buyer to the extent in Seller's or its property manager's possession or control’s possession: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

Delivery of Books and Records. After Immediately after the Closing, Seller shall deliver make available to the offices of Purchaser's property manager or to the Real Property manager, to the extent in Seller's or its property manager's possession or control: Lease Files; License Agreements; maintenance records the original Leases and warranties; plans and specifications; licenses, permits and certificates of occupancyService Contracts; copies or originals to be made by Purchaser of all material books and records of account, contracts, and copies of correspondence with tenants and suppliers, unpaid bills and other papers or documents which pertain to the Property for the prior three (3) years; all advertising materialspermits and warranties; bookletskeys and other items, if any, used in the operation of the Property; all available plans and keysspecifications and all operation manuals.

After Immediately after the Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's ’s possession or control: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

After the Closing, Seller Sellers shall deliver to the offices of Purchaser's property manager or to the Real Property to the extent in Seller's Sellers’ or its property manager's possession or control: Lease Files; License Agreements; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

Delivery of Books and Records. After Promptly after the Closing, Seller shall deliver to the offices of Purchaser's property manager Manager (or release to Manager if in Manager’s possession) or to the Real Property to the extent in Seller's ’s or its property manager's Manager’s possession or control: Lease Files; License Agreements; Advance Bookings; Rooms Ledger; Guest Ledger; maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants and suppliers; all advertising materials; booklets; and keys.

Delivery of Books and Records. After the Closing, Seller shall deliver to the offices of Purchaser's Buyer’s property manager or to the Real Property to the extent not previously delivered to or for the benefit of Buyer and in Seller's ’s or its property manager's ’s possession or control: Lease Files; License Agreements; maintenance records Leases and warranties; plans and specifications; licenses, permits and permits, certificates of occupancy; copies or originals of all books and records of account, contractsoccupancy which pertain to the Property, and copies all keys, used in the operation of correspondence with tenants and suppliers; all advertising materials; booklets; and keysthe Property.

Delivery of Books and Records. After the Closing, Seller shall deliver to the offices of Purchaser's ’s property manager or to the Real Property to the extent in Seller's ’s or its property manager's ’s possession or reasonable control: Lease Files; License Agreements; maintenance Maintenance records and warranties; plans and specifications; licenses, permits and certificates of occupancy; copies or originals of all books and records of account, contracts, and copies of correspondence with tenants suppliers; unpaid bills and suppliersother papers or documents which pertain to the Property; all advertising materials; booklets; keys; and keysother items, if any, used in the operation of the Property.
