Deliveries by Xxxxxx. At the Closing, and provided Borrower has fully performed all its obligations pursuant to the provisions of this Debenture, Holder will deliver to Borrower a check (or wire transfer to Borrower’s account) made payable to the order of Borrower in the principal amount specified in the preamble of this Debenture.
Deliveries by Xxxxxx. At Closing, the Vendor shall execute or deliver, or cause to be executed on delivered, each of the following, as the case may be, in each case in form and substance acceptable to the Purchaser and its legal counsel, acting reasonably:
Deliveries by Xxxxxx. At Closing, the Seller or Xxxxxx shall execute and deliver: (i) any certificate or book entry or other documents to transfer the Membership Units to the Buyer as necessary to transfer title to the Membership Units to the Buyer.
Deliveries by Xxxxxx. At Closing, Xxxxxx shall deliver to Purchaser such fully executed documents and instruments of assignment, transfer and conveyance as are necessary in the opinion of, and reasonably satisfactory in form to counsel of Purchaser to transfer good and marketable title to the Note to Purchaser in accordance with the provisions of this Agreement.
Deliveries by Xxxxxx. At Closing, Xxxxxx shall execute and deliver any certificate or book entry or other documents to transfer the Shares to the Buyer as necessary to transfer title to the Shares to the Buyer.
Deliveries by Xxxxxx. Concurrently with the execution and delivery of this Agreement, Parent, on behalf of the Buyer, shall deliver, or cause to be delivered, to the Xxxxxxx NING, subject to the Xxxxxxx NING timely providing the Buyer all information as required pursuant to Section 3.2(m), a copy of an instruction letter to Parent’s transfer agent, duly executed by an authorized Parent signatory, directing that the Stock Consideration be issued in the name of the Xxxxxxx NING in book-entry form bearing the restrictive legends set forth in Section 10.1 and Section 10.2. Subject to the preceding sentence, Parent shall cause its transfer agent to provide confirmation of the issuance of such Stock Consideration in book-entry form to the Xxxxxxx NING no later than 10 Business Days after the Closing Date.

In addition to all other deliveries to be made by Xxxxxx hereunder, Xxxxxx shall have delivered to UIS Brazil and UIS at Closing: an opinion of counsel rendered to UIS Brazil and UIS, in form, substance, and by a law firm reasonably acceptable to UIS Brazil and UIS, and its counsel, as to the matters set forth in Exhibit D attached hereto.
