Deliveries by Investor. In addition to and without limiting any other provision of this Agreement, the Investor agrees to deliver, or cause to be delivered, to the Company, the following:

Deliveries by Investor. By execution of this Agreement, the Investor hereby assigns and transfers to the Company all of the Investor’s right, title, and interest in and to the Evidences of Indebtedness. From time to time after the effective date of this Agreement, and without further consideration, the Investor will execute and deliver such other instruments of transfer and take such other actions as the Company may reasonably request in order to facilitate the transfer to the Company of the securities intended to be transferred hereunder.
Deliveries by Investor. At the Closing, Investor shall deliver or cause to be delivered to Seller all of the following, and in the case of executed agreements, documents or instruments, in each case executed by a duly authorized representative of Investor on Investor’s behalf:
Deliveries by Investor. Upon execution of this Agreement, in addition to the payment of the Purchase Price set forth in Section 1.2 above, and connection with the Investor’s subscription the Subject Shares, the Investor should:

As soon as practicable after the execution hereof (“Closing”), Investor will deliver to Company: (A) the total Purchase Price, by cashier’s check or wire transfer of immediately available funds to an account designated by Company, (B) an original of this Agreement and the Registration Rights Agreement fully executed by Investor, and (C) all other documents, instruments and writings required to be delivered by Investor to Company hereunder or otherwise required in connection herewith.
