This warranty is exclusive, and is in lieu of all other warranties, whether statutory, express or implied, and InterDigital’s obligation under this Section 3.1 is Spreadtrum’s sole and exclusive remedy for failure of any Deliverable to comply with its applicable Specification.

Deliverables Warranty. RAVENii warrants for the term of this Agreement that the Deliverables will substantially conform to relevant acceptance criteria for each Deliverable; however, if no acceptance criteria apply, RAVENii warrants for the term of this Agreement that the Deliverable will substantially conform to the description of the Deliverable set forth in the applicable Statement of Work.
Deliverables Warranty. With respect to any Deliverable (excluding any Client-provided or third- party materials), Catapult warrants that at the time of de- livery and for a period of thirty (30) days following acceptance by Client of the particular Deliverable (“War- ranty Period”), the Deliverable will materially conform to the applicable Specifications and Acceptance Criteria (if any). Specifications means (i) with respect to any software, the description of functional, technical, design and perfor- xxxxx characteristics for the software, and (ii) with respect to any other item, the description of such characteristics of the item as may be necessary or relevant for determining that the item is complete and otherwise free of errors or defects. Acceptance Criteria means the criteria (including the applicable Specifications, test data, test conditions and exception conditions) that constitute the basis for determin- ing the completion of all tasks and any sub-tasks comprising all project milestones, and for evaluating the Deliverables for acceptance. Client must report any al- leged defects or other deficiencies in any Deliverable within ten (10) calendar days of Catapult’s completion and submission of the applicable Deliverable. Unless other- wise specified in an applicable Statement of Work, all Deliverables are deemed accepted unless expressly re- jected by Client within ten (10) calendar days after submission for approval, and after acceptance any subse- quent Services provided with respect to such alleged warranty defects or otherwise shall be provided at Client’s expense and on a time and materials basis at Catapult’s then-current rates.
