Delay Rentals, Royalties and Shut-In Royalties. (a) Subject to subsection (c) below, Operator shall pay, promptly and timely, each delay rental, shut-in payment, royalty and other lease payments that are necessary to maintain the Jointly-Owned Leases in effect. Subject to Section 8.2, Operator shall not be liable to any other Party for any inadvertent act or omission pertaining to the performance of its obligations under this Section 5.5 (including, without limitation, the decision to deduct or not deduct post- production expenses) or any loss resulting therefrom unless such act or omission constitutes gross negligence or willful misconduct by Operator.

  • Royalties 1. Royalties arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.
