Definition of Trade Secrets. For purposes of this Agreement, "Trade Secrets" shall refer to the trade secrets of the Employer as that term is defined in the Official Code of Georgia Annotated, ss.10-1-761, as amended from time to time. Trade Secrets also include any information described herein which the Employer obtains from a third party, which Employer or such third party treats as proprietary or designates as Trade Secrets, whether or not owned or developed by the Employer.

Definition of Trade Secrets. For purposes of this Agreement, the termTrade Secrets” means any and all information, including a formula, pattern, compilation, program, device, method, technique or process that derives independent economic value, actual or potential, from not being generally known to the public or to other persons who can obtain economic value from its disclosure or use, and is the subject of efforts that are reasonable under the circumstances to maintain its secrecy. By way of illustration but not limitations, “Trade Secrets” include any confidential information regarding plans for research, development, current and new products, marketing and selling, business plans, budgets and unpublished financial statements, licenses, prices and costs, production, carriers and customers and potential customers. For the avoidance of doubt, “Trade Secrets” do not include: (x) any information which is already in the public domain or becomes available to the public through no breach of this Agreement by Executive, (y) any information which is lawfully obtainable from a source other than from the Employer, its Subsidiaries, their Affiliates or their respective personnel or independent contractors or (z) any information which is developed by Executive entirely on his own time without using the Employer’s, its Subsidiaries’ or their Affiliates’ equipment, supplies, facilities, or trade secret or confidential information and does not relate at the time of conception to the Employer’s or its Subsidiaries’ business, or actual or demonstrably anticipated research or development of the Employer or its Subsidiaries, or result from any work performed by Executive for the Employer, its Subsidiaries or their Affiliates.
Definition of Trade Secrets. Trade Secrets” means data and information that the Company or any of its affiliates owns or licenses including, but not limited to, technical or nontechnical data, formulae, patterns, compilations, programs, devices, methods, techniques, drawings, processes, financial data, financial plans, product plans or lists of actual or potential customers or suppliers, which (i) derive economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons or entities who can obtain economic value from their disclosure or use, (ii) are the subject of efforts that are reasonable under the circumstances to maintain their secrecy, and (iii) are protected as trade secrets under applicable state law.
Definition of Trade Secrets. Executive acknowledges and agrees that, through his employment with the Company, he has or will be exposed to and/or provided with the Company’s Trade Secrets as well as the Trade Secrets of the Company’s customers (“Trade Secrets”). As defined by California law, “Trade Secrets” mean information, including a formula, pattern, compilation, program, device, method, technique or process, that: (1) derives independent economic value, actual or potential, from not being generally known to the public or to other persons or entities who can obtain economic value from its disclosure or use and (2) is the subject of efforts that are reasonable under the circumstances to maintain it secrecy. The Trade Secrets include, but are not limited to, the following: methods and systems used in soliciting, selling and providing its services and/or products to clients and/or customers; financial and accounting information, client and/or customer profiles, financial policies and procedures, and revenues and profit margins; sales and marketing information, such as sales strategies and programs; information concerning the Company’s clients and/or customers and prospective clients and/or customers; information concerning vendors and suppliers; client and/or customer lists; prospective client and/or customer lists; client and/or customer buying habits and special needs; and Executive policies and procedures. Executive acknowledges and agrees that the Trade Secrets are not generally known to the public or to the Company’s competitors of the Company’s customer’s competitors, were developed or compiled at significant expense by the Company or its customers over an extended period of time, are the subject of the Company’s and/or its customers reasonable efforts to maintain their secrecy, and that the Company and/or its customers derives significant independent economic value by keeping the Trade Secrets a secret.
Definition of Trade Secrets. For the purposes of this Section 6, Trade Secrets shall mean, in addition to the information described in the Georgia Trade Secrets Act, (i) any Invention, as defined herein, which is being used or studied by the Company and is not described in a printed patent, described in any literature already published and distributed externally by the Company, and which is not readily ascertainable from inspection of a product of the Company, (ii) any engineering, technical, or product specifications including those of features to be used, or use of which is contemplated, in a future product of the Company; and (iii) any machine, process or method of manufacturing employed by the Company, whether patentable or not, which is not generally known to competitors of the Company. Trade Secrets shall not include any data or information (A) that has been voluntarily disclosed to the public by the Company or has become generally known to the public (except when such public disclosure has been made by Executive or another person or entity without authorization by the Company), or (B) that has been independently developed and disclosed by parties other than the Executive or the Company to the public generally or to the Executive without a breach of any obligation of non-disclosure by any such parties running directly or indirectly to the Company, or (C) that otherwise enters the public domain through lawful means.
Definition of Trade Secrets. Trade Secrets” shall mean and include any information relating, in whole or in part, to the business or financial affairs of the Company (whether written, oral, or electronically transmitted, stored, or recorded and whether prepared by the Company or its advisors or otherwise), which is furnished to Employee by or on behalf of the Company or is otherwise learned or acquired by Employee from the Company, whether furnished before or after the date of this Agreement, that is not generally known to or readily ascertainable by other persons or entities. Trade Secrets shall specifically include, but is not limited to: proprietary information, analyses, data, compilations, systems, processes, works of authorship, know-how, improvements, discoveries, developments, designs, techniques, computer programs, and technologies (including computer software), procedures, manuals (published and unpublished), studies, plans, and names and/or lists of customers; information concerning or relating, in whole or in part, to the finances, accounts, services, methods, suppliers, vendors or employees of the Company; and technical and non technical information and materials relating to the Company and the services performed by the Company.

The Company’s and any Associated Company’s Trade Secrets include, but are not limited to, the following: trade secrets and any inventions or improvements which Executive may make or discover in the course of his duties, details of suppliers, including without limitation their services and terms of business, prices charged to and terms of business with clients/customers and marketing plans and sales forecasts, processes, inventions, designs, know how, pitch lists, discoveries, technical information relating to the production or supply of any past, present or future products or service of the Company or any Associated Company. Executive acknowledges and agrees that the Company’s Trade Secrets are not generally known to the public or to the Company’s competitors, were developed or compiled at significant expense by the Company over an extended period of time, are the subject of the Company’s reasonable efforts to maintain their secrecy, and that the Company derives significant independent economic value by keeping its Trade Secrets a secret.

Definition of Trade Secrets. As used in this Agreement, the term, "Trade Secrets" shall mean all techniques, protocols, methods of doing business and procedures used by CLIENT in its business which is not generally known or used in the industry; lists of CLIENT's current and prospective Customers and associated customer information (including, but not limited to, customer names, contracts, addresses, buying habits, data, preferences, and requirements); computer programs and source codes developed by CLIENT or its Employees; inventions, improvements, discoveries (whether or not patentable), databases and any information or data which meets the definition of trade secrets under applicable Trade Secret Acts or common law.

The term “Trade Secrets” includes compilations of information where the compilation otherwise meets the definition herein, even if portions of the information compiled are generally known or used in the industry.
