Definition of Gross Sales and Receipts. Gross Sales,” and “Gross Receipts” means the actual sales price of all food, non-alcoholic beverages, goods, wares and merchandise sold, leased, rented, catered, licensed or delivered and the actual charges for all services performed by the Concessionaire, licensee or concessionaire in, at, from, or arising out of the use of the Premises, whether for wholesale, retail, cash, credit, trade-in or otherwise, without reserve or deduction for inability or failure to collect. Gross Sales shall include, without limitation, sales and services (a) where the orders therefor originate in, at, from or arising out of the use of the Premises, including catering services, whether delivery or performance is made from the Premises or from some other place; (b) made or performed by mail, telephone, or computer orders; (c) made or performed by means of mechanical or other vending devices in the Premises; (d) which Concessionaire or any licensee, concessionaire or other person in the normal or customary course of its business would credit or attribute to its operations in any part of the Premises; and (e) all revenues and receipts, generated by or arising from the use of the Premises. Any deposit not refunded shall be included in Gross Sales. Each installment or credit sale shall be treated as a sale for the full price in the month during which such sale is made, regardless of whether or when Concessionaire receives payment therefor. “Gross Sales” shall also include any revenues and receipts generated from any television, radio, movie, studio, photograph promoter or any other such activity, on, at or near the Premises.

Vendor agrees that any order issued from a customer to Vendor, even when processed through TIPS, constitutes a legal contract between the customer and Vendor only. When Vendor accepts or fulfills an order, even when processed through TIPS, Vendor is representing that Vendor has carefully reviewed the order for legality, authenticity, and accuracy and TIPS shall not be liable or responsible for the same. In the event of a conflict between the terms of this TIPS Vendor Agreement and those contained in any Supplemental Agreement, the provisions set forth herein shall control unless otherwise agreed to and authorized by the Parties in writing within the Supplemental Agreement. The Supplemental Agreement shall dictate the scope of services, the project delivery expectations, the scheduling of projects and milestones, the support requirements, and all other terms applicable to the specific sale(s) between the Vendor and the TIPS Member.
