Common use of Defense and Indemnification Clause in Contracts

Defense and Indemnification. The Board agrees to provide the Superintendent with legal counsel selected and paid for by the Board and to defend and indemnify and hold the Superintendent harmless for all claims, demands and judgments arising out of the performance of the duties of the Superintendent to the fullest extent permitted by law.
