Declined Services Sample Clauses

Declined Services. Consultant may recommend certain products, services, and/or managed IT/security solutions designed to enhance the Company's overall IT network and security platform or address specific risks and advancements in the field of information technology or cybersecurity. While the Company always retains the freedom to choose whether or not to follow Consultant's recommendations, if the Company refuses a recommended product or service for any reason, it agrees that by doing so, it fully accepts all risks associated with not following Consultant's recommendations. The Company further agrees to release, indemnify, and hold Consultant harmless from and against any and all liabilities, claims, causes of action, lawsuits, and/or demands of any kind or nature, whether in law or equity. This includes all direct, indirect, incidental, special, or consequential damages (including, but not limited to, damages for interruption of services, loss of business, loss of profits, loss of revenue, loss of data, or loss or increased expenses incurred by the Company or any third party), as well as any and all other claims arising from any hardware or software that Consultant advised the Company to change or upgrade, or any other decision by the Company to not follow Consultant's recommendations in improving its IT network. In the event of a cybersecurity/data breach, data loss, or other damage involving any hardware, software, or equipment that Consultant recommended to be upgraded or replaced, the Company acknowledges that handling and remediation of such breach is beyond the scope of this Agreement, and it accepts full responsibility for any such loss, breach, or damage. The Company agrees not to hold Consultant responsible or legally liable for its decision to not follow Consultant's recommendations and/or any future consequences relating to or arising from that decision.

  • Cloud Services You will not intentionally (a) interfere with other customers’ access to, or use of, the Cloud Service, or with its security; (b) facilitate the attack or disruption of the Cloud Service, including a denial of service attack, unauthorized access, penetration testing, crawling, or distribution of malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); (c) cause an unusual spike or increase in Your use of the Cloud Service that negatively impacts the Cloud Service’s operation; or (d) submit any information that is not contemplated in the applicable Documentation.

  • Managed Services HP will provide the services as described in a Statement of Work (“SOW”) attached to this Agreement or incorporating it by reference. Each party will appoint a single point of contact as set forth in the SOW who will serve as their primary representative, have overall responsibility for managing performance, and meet with the other party’s representative to review progress. Change requests are governed by the change management procedures as set forth in the SOW.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Competing Services Subject to the provisions of this Section 9, and Contractor’s obligations with respect to Confidential Information, including as defined in Section 10, nothing in this Contract precludes or limits in any way the right of Contractor to: (i) provide services similar to those contemplated in this Contract, or consulting or other services of any kind or nature whatsoever to any individual or entity as Contractor in its sole discretion deems appropriate, or (ii) develop for Contractor or for others, Deliverables or other materials that are competitive with those produced as a result of the Services provided hereunder, irrespective of their similarity to the Deliverables delivered pursuant to this Contract. Each party is free to utilize any concepts, processes, know-how, techniques, improvements or other methods it may develop during the course of performance under this Contract free of any use restriction or payment obligation to the other.

  • Existing Services In the disconnection and sealing of services the Contractor is to comply with the requirements of the Authorities concerned and is to allow in his prices for serving all notices and paying all fees as necessary. The Contractor must take all necessary precautions and will be responsible for damage caused to any underground cables or services which exist on site.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Approved Services; Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at xxxx://xxx.xxxxx.xxx/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.
