Common use of Debt Cancellation Clause in Contracts

Debt Cancellation. Borrower shall not, and shall not permit Mortgage Borrower, Senior Mezzanine Borrower or Operating Company to, cancel or otherwise forgive or release any claim or debt (other than termination of Leases in accordance herewith) owed to Mortgage Borrower, Borrower or Senior Mezzanine Borrower by any Person, except for adequate consideration and in the ordinary course of Mortgage Borrower’s, Borrower’s or Senior Mezzanine Borrower’s business. In addition, Borrower shall not permit or cause itself, Senior Mezzanine Borrower, or Mortgage Borrower to cancel or otherwise forgive or release any material claim or debt (other than termination of Leases in accordance herewith) owed to Senior Mezzanine Borrower, Borrower or Mortgage Borrower by any Person, except for adequate consideration and in the ordinary course of Mortgage Borrower’s, Borrower’s or Senior Mezzanine Borrower’s business.

Debt Cancellation. In addition, Borrower shall not permit or cause itself, Senior Mezzanine Borrower, Borrower or Mortgage Borrower to cancel or otherwise forgive or release any material claim or debt (other than termination of Leases in accordance herewith) owed to Senior Mezzanine Borrower, Borrower or Mortgage Borrower by any Person, except for adequate consideration and in the ordinary course of Mortgage Borrower’s, Borrower’s or Senior Mezzanine Borrower’s or Mortgage Borrower’s business.

Debt Cancellation. Unless approved by Lender, Borrower shall not, and shall not cause or permit Mortgage Borrower, Senior Borrower or First Mezzanine Borrower or Operating Company to, to cancel or otherwise forgive or release any claim or debt (other than termination of Leases or Bona Fide Sales Contracts in accordance herewithherewith and the Mortgage Loan Documents) owed to Mortgage Borrower, Borrower or Senior Mezzanine Borrower by any Person, except for adequate consideration and in the ordinary course of Mortgage Borrower’s, Borrower’s or Senior Mezzanine Borrower’s business. In addition, Borrower shall not permit or cause itself, Senior Mezzanine Borrower, or Mortgage Borrower to cancel or otherwise forgive or release any material claim or debt (other than termination of Leases in accordance herewith) owed to Senior Mezzanine Borrower, Borrower or Mortgage Borrower by any Person, except for adequate consideration and in the ordinary course of Mortgage Borrower’s business. Borrower shall not cancel or otherwise forgive or release any claim or debt owed to Borrower by any Person, shall not permit the First Mezzanine Borrower to cancel or otherwise forgive or release any claim or debt owed to First Mezzanine Borrower by any Person, and shall not permit the Mortgage Borrower to cancel or otherwise forgive or release any claim or debt owed to Mortgage Borrower by any Person, except for adequate consideration and in the ordinary course of Borrower’s, First Mezzanine Borrower’s or Senior Mezzanine Mortgage Borrower’s business, respectively.

Debt Cancellation. Borrower shall not cause or permit Mezzanine A Borrower, Mortgage Borrower, Senior HHSD, Mezzanine Borrower A Additional Pledgor, Additional Pledgor or Operating Company to, Lessee to cancel or otherwise forgive or release any claim or debt (other than termination of Leases in accordance herewith) owed to Mezzanine A Borrower, Mortgage Borrower, Borrower HHSD, Mezzanine A Additional Pledgor, Additional Pledgor or Senior Mezzanine Borrower Operating Lessee by any Person, except for adequate consideration and in the ordinary course of Mezzanine A Borrower’s, Mortgage Borrower’s, Borrower’s HHSD, Mezzanine A Additional Pledgor, Additional Pledgor or Senior Mezzanine Borrower’s business. In addition, Borrower shall not permit or cause itself, Senior Mezzanine Borrower, or Mortgage Borrower to cancel or otherwise forgive or release any material claim or debt (other than termination of Leases in accordance herewith) owed to Senior Mezzanine Borrower, Borrower or Mortgage Borrower by any Person, except for adequate consideration and in the ordinary course of Mortgage Borrower’s, Borrower’s or Senior Mezzanine BorrowerOperating Lessee’s business.

Debt Cancellation. Borrower shall not permit or cause Mezzanine B Borrower to cause or permit Mezzanine A Borrower to cancel or otherwise forgive or release any claim or debt owed to Mezzanine A Borrower by any Person, except for adequate consideration and in the ordinary course of Mezzanine A Borrower’s business. Borrower shall not permit or cause Mortgage Borrower, Senior Mezzanine Borrower or Operating Company to, to cancel or otherwise forgive or release any claim or debt (other than termination of Leases in accordance herewith) owed to Mortgage Borrower, Borrower or Senior Mezzanine Borrower by any Person, except for adequate consideration and in the ordinary course of Mortgage Borrower’s, Borrower’s or Senior Mezzanine Borrower’s business. In addition, Borrower shall not permit or cause itself, Senior Mezzanine Borrower, or Mortgage Borrower to cancel or otherwise forgive or release any material claim or debt (other than termination of Leases in accordance herewith) owed to Senior Mezzanine Borrower, Borrower or Mortgage Borrower by any Person, except for adequate consideration and in the ordinary course of Mortgage Borrower’s, Borrower’s or Senior Mezzanine Borrower’s business.
