The Company and the Dealer Manager acknowledge and agree that the following information set forth in the Exchange Offer Materials constitutes the Dealer Manager Information: the first and fourth sentences of the second paragraph and the third paragraph under the caption “Dealer Manager, Exchange Agent and Information Agent—Dealer Manager” in the Prospectus.
