DEALER MANAGER INFORMATION. The Company and the Dealer Manager acknowledge and agree that the following information set forth in the Offer Materials constitutes the Dealer Manager Information: the first and fourth sentences of the third paragraph and the fourth paragraph under the caption “Dealer Manager, Exchange Agent, Information Agent and Subscription Agent—Dealer Manager” in the Preliminary Prospectus dated February 6, 2012.
