Common use of DEALER-MANAGER COMPENSATION Clause in Contracts

DEALER-MANAGER COMPENSATION. (i) Subject to the special circumstances described in or otherwise provided in the “Plan of Distribution” section of the Prospectus or this Section 3(d), the Company agrees to pay Soliciting Dealers selling commissions in the amount of up to and including six percent (6.0%) of the selling price of each Share for which a sale is completed from the Shares offered in the Offering. The Company may pay reduced selling commissions or may eliminate commissions on certain sales, including the reduction or elimination of selling commissions in accordance with, and on the terms set forth in, the Prospectus. The Dealer Manager will re-allow all the selling commissions, subject to federal and state securities laws, to the Soliciting Dealer who sold the Shares as described more fully in the Soliciting Dealer Agreement.

DEALER-MANAGER COMPENSATION. The Company may pay reduced selling commissions or may eliminate commissions on certain sales, including the reduction or elimination of selling commissions in accordance with, and on the terms set forth in, the “Plan of Distribution” section of the Prospectus. The Dealer Manager will re-allow all or any portion of the selling commissions, subject to federal and state securities laws, to the Soliciting Participating Broker-Dealer who sold the Shares as described more fully in the Soliciting Participating Broker-Dealer Agreement.

DEALER-MANAGER COMPENSATION. The Company may will pay reduced selling commissions or may eliminate commissions on certain salessales of Units, including the reduction or elimination of selling commissions in accordance with, and on the terms set forth in, the Prospectus. The Dealer Manager will re-allow reallow all the selling commissions, subject to federal and state securities laws, to the Soliciting Dealer who sold the Shares Units, as described more fully in the Soliciting Dealer Agreement.
