Common use of Dealer Manager Agreement Clause in Contracts

Dealer Manager Agreement. The Dealer Manager has entered into a Dealer Manager Agreement with the Fund dated April 3, 2017 (the “Dealer Manager Agreement”). Upon effectiveness of this Participating Dealer Agreement (this “Agreement”), you will become one of the Participating Dealers referred to in the Dealer Manager Agreement and will become entitled and subject to the representations, warranties and covenants contained in the Dealer Manager Agreement relating to the rights and obligations of a Participating Dealer.

Dealer Manager Agreement. The Dealer Manager has entered into a an Amended and Restated Dealer Manager Agreement with the Fund dated April 3__________________, 2017 (the “Dealer Manager Agreement”). Upon effectiveness of this Participating Dealer Agreement (this “Agreement”), you will become one of the Participating Dealers referred to in the Dealer Manager Agreement and will become entitled and subject to the representations, warranties and covenants contained in the Dealer Manager Agreement relating to the rights and obligations of a Participating Dealer.

Dealer Manager Agreement. Upon effectiveness of this Participating Dealer Agreement (this “Agreement”), you will become one of the Participating Dealers referred to in the Dealer Manager Agreement and will become entitled and subject to the representations, warranties and covenants contained in the Dealer Manager Agreement relating to the rights and obligations of a Participating Dealer.

Upon effectiveness of this Participating Dealer Agreement (this “Agreement”), you will become one of the Participating Dealers referred to in the Dealer Manager Agreement and will become entitled and subject to the representations, warranties and covenants contained in the Dealer Manager Agreement relating to the rights and obligations of a Participating DealerAgreement.

Upon effectiveness of this Participating Dealer Agreement (this “Agreement”), you will become one of the Participating Dealers referred to in the Dealer Manager Agreement and will become entitled and subject to the representations, warranties and covenants contained in the Dealer Manager Agreement relating to the rights and obligations of a Participating DealerAgreement.

Dealer Manager Agreement. Upon effectiveness of this Participating Broker-Dealer Agreement (this “Agreement”), you will become one of the “Participating Dealers Broker-Dealers” referred to in the Dealer Manager Agreement. All capitalized terms used and not defined in this Agreement and will become entitled and subject shall have the meaning ascribed to the representations, warranties and covenants contained such terms in the Dealer Manager Agreement relating to the rights and obligations of a Participating DealerAgreement.
