Date and Xxxxxx of Closing. Title Company shall close the Escrow (“Closing”) on or before September 29, 2005 (“Closing Date”), provided that all of the conditions to Buyer’s obligation to purchase have been either satisfied or waived (including, without limiting the generality of the foregoing, receipt by Buyer of all of the items listed on the Closing Checklist for the Properties on or before September 15, 2005). The Escrow shall be deemed closed when (i) all documents required to be delivered to Buyer and Title Company pursuant to this Agreement have been delivered or delivery of such document(s) has been waived; (ii) the Title Company is irrevocably committed to issuing the Title Policy; and (iii) all funds required to be delivered to Title Company pursuant to this Agreement have been delivered.

Date and Xxxxxx of Closing. Escrow Agent shall close the Escrow (the “Closing”) on or before August 31, 2006 (the “Scheduled Closing Date”), provided that all of the conditions to Buyer’s obligation to purchase have been either satisfied or waived. The Escrow shall be deemed closed when (i) all documents required to be delivered to Buyer and Escrow Agent pursuant to this Agreement have been delivered or delivery of such document(s) has been waived; (ii) the Title Company is irrevocably committed to issuing the Title Policy; and (iii) all funds required to be delivered to Escrow Agent pursuant to this Agreement have been delivered. Buyer, at its election, may authorize Escrow Agent to close on the Properties all at once or individually in certain intervals. If Buyer authorizes Xxxxxx Agent to close on the Properties individually, Xxxxx shall deliver to Escrow Agent the portion of the Purchase Price representing payment due in connection with those Properties for which Escrow Agent has received authorization to close.
Date and Xxxxxx of Closing. Escrow Agent shall close the escrow (the “Closing”) as soon as all conditions to closing contained in this Agreement have been satisfied (or deemed satisfied) or waived in writing which shall in any event be not later than 11:00 a.m. Eastern Time on August 29, 2018 (the “Final Closing Date”), time being of the essence (subject only to Seller’s express rights of remedy or cure provided herein, in which event Seller will give Purchaser not less than three (3) business daysnotice of the date of Closing), by recording and delivering all documents and funds as set forth in Article VIII.
