Data Return and Destruction of Data. (a) Protecting PII from unauthorized access and disclosure is of the utmost importance to the EA, and Contractor agrees that it is prohibited from retaining PII or continued access to PII or any copy, summary or extract of PII, on any storage medium (including, without limitation, in secure data centers and/or cloud-based facilities) whatsoever beyond the period of providing Services to the EA, unless such retention is either expressly authorized for a prescribed period by the Service Agreement or other written agreement between the Parties, or expressly requested by the EA for purposes of facilitating the transfer of PII to the EA or expressly required by law. As applicable, upon expiration or termination of the Service Agreement, Contractor shall transfer PII, in a format agreed to by the Parties to the EA.

The EA may use the administrator portal to delete PII at any time or may request assistance from Contractor to do so. If not deleted by the EA, Contractor will automatically delete all PII from its servers after a period of no more than two (2) years following termination of the subscription, and from all backup servers after two (2) additional weeks.

The terms of this Section II.9(a) do not apply to PII saved to backup or disaster-recovery media that is not readily accessible (e.g., backup tapes), however Contractor agrees to otherwise abide by the terms of this DPA for so long as PII is saved to such media.

Notwithstanding anything to the contrary in this Agreement or otherwise, this requirement does not apply to any backups that Contractor may create in the usual course of business (i.e. Business Continuity Plans) unless that backup is used to restore Contractor’s systems, at which point, the data belonging to District will be deleted.

As applicable, upon expiration or termination of the Service Agreement, the Contractor will transfer PII, in a format agreed to by the Parties to the District.

EA will have access to all PII at any time for review, correction, or transfer using the standard functionality of Contractor’s products. EA may request assistance if required, and Contractor will provide reasonable assistance, such as instructions, as needed to accomplish any transfer, review or correction.
