Customer Reimbursement. If E*TRADE Securities is notified by any of its customers that the execution of such customer’s Eligible Order failed to meet the Execution Guarantee, E*TRADE Securities shall investigate such claim with the Company. If E*TRADE Securities and the Company mutually determine in good faith that (a) such customer’s complaint is valid, (b) the failure to meet the Execution Guarantee is proximately caused by a delay of the Company and (c) E*TRADE Securities is obligated, under the terms of the Execution Guarantee, to provide the customer with one or more commission-free trades, E*TRADE Securities may provide such commission-free trades, and the Company shall reimburse E*TRADE Securities for the amount of those commission credits. Notwithstanding anything herein to the contrary, in no event shall the Company be obligated to reimburse E*TRADE Securities for any refund if the applicable Covered Order is an Ineligible Order or if:
Customer Reimbursement. (a) If Customer terminates this Precedent Agreement pursuant to Section 8(b), or if Pipeline terminates this Precedent Agreement pursuant to Section 8(c), then in either case Customer agrees to pay in full its proportionate share (as determined by comparing Customer’s MDTQ to the anticipated initial firm capacity of the Project as of the date of termination of this Precedent Agreement) of all Reimbursable Costs that are duly itemized and presented by Pipeline to Customer; provided that Customer’s Reimbursable Costs responsibility shall not exceed the amount that would be the net present value of Customer’s total Negotiated Reservation Rate responsibility for the Primary Term of the FTSA.
Customer Reimbursement. RIA reserves the right, for any reason, to refund to any customer all or any part of payment received from such customer, and you agree to reimburse RIA promptly for any payment received by you as a result of such transaction, as well as expenses incurred by RIA to deduct from any commissions due, or that may become due you hereunder, the amount of any reimbursement made or expense incurred by RIA in connection with such reimbursement. Customer Reimbursement. If USAC seeks recovery from AT&T for disbursed ECF funds as a result of Customer’s failure to comply with the ECF rules, including Customer delays in submitting required forms or contracts or determines that products and/or services which USAC had previously been approved for funding are not eligible resulting in a request for recovery of funds (other than as the result of AT&T’s failure to comply with the ECF rules), then AT&T will reverse any ECF SPI credit payment amounts provided to Customer for the affected products/services and seek reimbursement from the Customer for the appropriate amounts. Customer agrees that for any reimbursements requested by AT&T, Customer will (a) pay all unfunded amounts for products/services delivered by AT&T and (b) reimburse AT&T for any funds AT&T must return to USAC, each within ninety (90) days of notice from USAC of an unfunded product/service. In addition, Customer acknowledges and agrees that a determination of ineligibility, reduction, or other non-funding by USAC does not affect the obligations set forth in the parties’ contract or this Affirmation Agreement, including those obligations related to payments and early termination fees. This provision shall supersede any other provision with respect to limits on the time period in which charges may be invoiced. Certification with Program Rules. Customer warrants and represents that the Customer has complied with ECF program rules and has certified as such on their Form 471. Customer shall inform AT&T of any activity that warrants a repayment to USAC for products and/or services paid for by the ECF fund.   • Loss Reimbursement Subadviser shall reimburse the Account for any material error to the Fund's net asset value caused by Subadviser's breach of its standard of care, as set forth in the following sentence that is a direct cause of a delay in the accurate daily pricing of the Fund. In managing the Account, Subadviser shall act with the care, skill, prudence and diligence under the circumstances then prevailing that a prudent person acting in a like capacity and familiar with such matters would use in the conduct of an enterprise of a like character and with like aims.

  • Expense Reimbursement The Executive shall be entitled to receive reimbursement for all appropriate business expenses incurred by him in connection with his duties under this Agreement in accordance with the policies of the Company as in effect from time to time.
