Customer Lists and Accounts. All of Seller's customer lists including address, contact person, telephone and telecopier numbers ("Customer Lists"), purchase orders or purchase commitments owed to Seller as of the Closing Date (AS DEFINED BELOW IN SECTION 5), accounts, records and customer relationships relating to the Business, all as more particularly described on SCHEDULE 1.2 hereto; (The parties hereto acknowledge that SCHEDULE 1.2 is not complete. Seller shall, as soon as practicable but in no event more than ten (10) days after the Closing, revise SCHEDULE 1.2 to reflect (i) all of Seller's customers of the Business to which sales were made in the twelve (12) month period prior to the Closing, and (ii) all open purchase orders from Seller's customers being transferred hereunder.)

Customer Lists and Accounts. SCHEDULE 2.1(b) contain a true and correct list (the "Customer Lists and Accounts") of both Companies' customers and accounts during the 1999 fiscal year and the eight (8) month period ended August 31, 2000 relating to the Mobile Business. Except as set forth in the Disclosure Schedule, since December 31, 1999, no single customer or group of affiliated customers contributing more than $5,000 per annum to the gross revenues of the Mobile Business has stopped doing business with the Companies, and to the knowledge of Xxxxxxx and each Company (after diligent inquiry), no such customer has an intention to discontinue doing business or reduce the level of gross revenues from that in fiscal years 1999 with the Mobile Business.

  • Notes and Accounts Receivable All notes and accounts receivable of the Company, all of which are reflected properly on the books and records of the Company, are valid receivables subject to no setoffs, defenses or counterclaims, are current and, to the Company's Knowledge, collectible subject in each case only to the reserve for bad debts set forth on the face of the Most Recent Balance Sheet as adjusted for operations and transactions through the Closing Date in accordance with the past custom and practice of the Company.

  • Trade Secrets and Customer Lists Officer agrees to hold in strict confidence all information concerning any matters affecting or relating to the business of Corporation and its subsidiaries and affiliates, including, without limiting the generality of the foregoing, its manner of operation, business plans, business prospects, agreements, protocols, processes, computer programs, customer lists, market strategies, internal performance statistics, financial data, marketing information and analyses, or other data, without regard to the capacity in which such information was acquired. Such information does not include information which (i) was or becomes generally available to the public other than as a result of a disclosure by Officer or his representatives, or (ii) was or becomes available to Officer on a non-confidential basis from a source other than Corporation or its advisors provided that such source is not known to Officer to be bound by a confidentiality agreement with Corporation, or otherwise prohibited from transmitting the information to Officer by a contractual, legal or fiduciary obligation; notwithstanding the foregoing, if any such information does become generally available to the public, Officer agrees not to further discuss or disseminate such information except in the performance of his duties as Officer. Upon Corporation’s request, Officer will return all information furnished to him related to the business of Corporation. The parties hereto stipulate that all such information is material and confidential and gravely affects the effective and successful conduct of the business of Corporation and Corporation’s goodwill, and that any breach of the terms of this Section 6 shall be a material breach of this Agreement. The terms of this Section 6 shall remain in effect following the termination of this Agreement.

  • Foreign Assets/Account Reporting Information Italian residents who, during the fiscal year, hold investments abroad or foreign financial assets (e.g., cash, Shares and RSUs) which may generate income taxable in Italy are required to report such on their annual tax returns (UNICO Form, RW Schedule) or on a special form if no tax return is due. The same reporting obligations apply to Italian residents who, even if they do not directly hold investments abroad or foreign financial assets (e.g., cash, Shares and RSUs), are beneficial owners of the investment pursuant to Italian money laundering provisions.
