CUSTOMER FACILITIES AND RELATED SERVICES. Customer will provide to Sabre, and its employees, subcontractors and agents, Access to Customer's facilities, including all Access Locations, twenty-four (24) hours a day, seven (7) days a week, as needed to perform the Services. Customer will also provide, at Customer's expense, such resources and services at Customer's facilities (including Access Locations), as are necessary for Sabre to provide the Services. All space provided to Sabre at Customer's facilities will remain free of health and safety hazards and in compliance with applicable Environmental Laws. Sabre personnel shall comply with the customary rules of Customer (which shall not unreasonably impede Sabre in the performance of Services) with respect to Access to Customer's facilities and Access Locations.

CUSTOMER FACILITIES AND RELATED SERVICES. During the Term, for Services performed by TSG on-site at Customer's facilities, Customer shall provide to TSG, at no cost to TSG, such access to and use of adequate space and facilities required for performance of the Services (collectively, the "CUSTOMER FACILITIES SPACE") for so long as and to the extent that the Customer Facilities Space is reasonably required by TSG to effectively perform the Services. Customer will also provide, at Customer's expense, all utilities, required internal cabling and electrical installations for TSG at the Customer Facilities Space and any Service Location in which the Services will be performed. Customer will provide TSG with legal and physical access to Customer's Facilities Space twenty-four (24) hours a day, seven (7) days a week, for purposes of performing the Services. Customer represents to TSG that all facilities provided by Customer under this Agreement are and shall remain free of health and safety hazards. At all times when TSG uses space and related utilities and services in any Customer Facilities Space, TSG shall comply with the customary and reasonable policies governing access to and use of the facilities in effect from time to time, provided, however, that such policies shall not discriminate with respect to TSG or its employees, agents or contractors.
CUSTOMER FACILITIES AND RELATED SERVICES. Commencing on the Effective Date, Customer will provide to TSG, at Customer's expense, such space, parking, office furnishings, janitorial service, telephone and facsimile services (excluding such charges as may be incurred by TSG and which are unrelated to the business of Customer), utilities, office-related equipment, supplies, duplicating services, and security services at the Customer Data Center and at such other Customer facilities as TSG may require in performing the TSG Services. Customer will also provide, at Customer's expense, all required internal building piping, cabling, electrical installations for TSG at the Customer Data Center and any other Customer facility in which the TSG Services will be performed. Customer will provide TSG with legal and physical access to Customer's facilities 24 hours a day, seven (7) days a week, for purposes of performing the TSG Services. Customer represents to TSG that all facilities provided by Customer under this Agreement are and shall remain free of health and safety hazards, and that Customer shall comply with and remain in compliance with all applicable laws and operational, environmental and safety requirements for the proper operation of the TSG Services.
CUSTOMER FACILITIES AND RELATED SERVICES. During the Implementation, Customer shall provide to TSG, at no cost to TSG, such access to and use of adequate space and services (collectively, the "CUSTOMER FACILITIES SPACE") to the extent that the Customer Facilities Space is reasonably required by TSG to effectively perform the TSG Services. Customer shall also provide to TSG, at any Customer location in which the TSG Services will be performed, facilities which are free of health and safety hazards. At all times during the Implementation when TSG uses space and related utilities and services in any Customer Facilities Space, TSG shall comply with the customary and reasonable policies governing access to and use of the facilities in effect from time to time and which are communicated to TSG in writing.

Related to CUSTOMER FACILITIES AND RELATED SERVICES

  • Utilities and Services Tenant shall be responsible, at its sole cost and expense, for all charges for water, gas, electricity, sewer, heat, light, power, telephone, telecommunications service, refuse pickup, janitorial service, interior landscape maintenance and all other utilities, materials and services furnished directly to Tenant or the Premises or used by Tenant in, on or about the Premises during the Term, together with any taxes thereon. If any utilities or services are not separately metered or assessed to Tenant, Landlord shall make a reasonable determination of Tenant’s proportionate share of the cost of such utilities and services, and Tenant shall pay such amount to Landlord, as an item of additional rent, within thirty (30) days after receipt of Landlord’s statement or invoice therefor. Alternatively, Landlord may elect to include such cost in the definition of Project Costs in which event Tenant shall pay Tenant’s proportionate share of such costs in the manner set forth in Section 4.2. Landlord shall not be liable for damages or otherwise for any failure or interruption of any utility or other service furnished to the Premises, and no such failure or interruption shall be deemed an eviction or entitle Tenant to terminate this Lease or withhold or xxxxx any rent due hereunder. Notwithstanding the foregoing, if as a result of the direct actions of Landlord, its employees, contractors or authorized agents, for more than three (3) consecutive business days following written notice to Landlord there is no HVAC or electricity services to all or a portion of the Premises, or such an interruption of other essential utilities and building services, such as fire protection or water, so that all or a portion of the Premises cannot be used by Tenant, then Tenant’s Basic Rent (or an equitable portion of such Basic Rent to the extent that less than all of the Premises are affected) shall thereafter be abated until the Premises are again usable by Tenant; provided, however, that if Landlord is diligently pursuing the repair of such utilities or services and Landlord provides substitute services reasonably suitable for Tenant’s purposes, as for example, bringing in portable air-conditioning equipment, then there shall not be an abatement of Basic Rent. Provided Landlord shall diligently pursue the repair of such utilities and services, the foregoing provisions shall be Tenant’s sole recourse and remedy in the event of such an interruption of services. The foregoing provisions shall not apply in case of the actions of parties other than Landlord, its employees, contractors or authorized agents, or in the case of damage to, or destruction of, the Premises (which shall be governed by the provisions of Article XI of the Lease). Any disputes concerning the foregoing provisions shall be submitted to and resolved by JAMS arbitration pursuant to Article III of the Work Letter attached to this Lease. Landlord shall at all reasonable times have free access to the Building and Premises to install, maintain, repair, replace or remove all electrical and mechanical installations of Landlord. Tenant acknowledges that the costs incurred by Landlord related to providing above-standard utilities to Tenant (which shall only be provided upon Tenant’s request), including, without limitation, telephone lines, shall be charged to Tenant.

  • CUSTODY AND RELATED SERVICES 1. (a) Subject to the terms hereof, each Fund hereby authorizes Custodian to hold any Securities received by it from time to time for the Fund's account. Custodian shall be entitled to utilize, subject to subsection (c) of this Section I, Depositories, Subcustodians, and, subject to subsection (d) of this Section 1, Foreign Depositories, to the extent possible in connection With its performance hereunder. Securities and cash held in a Depository or Foreign Depository will be held subject to the rules, terms and conditions of such entity .Securities and cash held through Subcustodians shall be held subject to the terms and conditions of Custodian's agreements with such Subcustodians. Subcustodians may be authorized to hold Securities in Foreign Depositories in which such Subcustodians participate. Unless otherwise required by local law or practice or a particular Subcustodian agreement, Securities deposited with a Subcustodian, a Depositary or a Foreign Depository Will be held in a commingled account, in the name of Custodian, holding only Securities held by Custodian as Custodian for its customers. Custodian shall identify on its books and records the Securities and cash belonging to the Fund, whether held directly or indirectly through Depositories, Foreign Depositories, or Subcustodians. Custodian shall, directly or indirectly, through Subcustodians, Depositories, or Foreign Depositories, endeavor, to the extent feasible, to hold Securities in the country or other jurisdiction in which the principal trading market for such Securities is located, where such Securities are to be presented for cancellation and/or payment and/or registration, or where such Securities are acquired. Custodian at any time may cease utilizing any Subcustodian and/or may replace a Subcustodian with a different Subcustodian (the “Replacement Subcustodian”). In the event Custodian selects a Replacement Subcustodian, Custodian shall not utilize such Replacement Subcustodian until after the Fund's foreign custody manager has determined that utilization of such Replacement Subcustodian satisfies the requirements of the' 40 Act and Rule 17f-5 thereunder.

  • Data Necessary to Perform Services The Trust or its agent shall furnish to USBFS the data necessary to perform the services described herein at such times and in such form as mutually agreed upon.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Omitted Services The Parties each have used commercially reasonable efforts to identify and describe the Scheduled Services. However, the Parties acknowledge and agree that there may be services which are not identified on Schedule 1 or Schedule 2, as applicable, that (A) in the case of the CLNC Services, were provided by a Service Provider to a Service Recipient or its subsidiaries during the Look-Back Period, (B) had been performed by the employees now employed by a Service Provider or its Affiliates or provided pursuant to contracts to which a Service Provider or its Affiliates is now a party or assets now owned by Service Provider or its Affiliates, and (C) are necessary to operate the business of the Service Recipient (as such business is currently conducted) after the Closing Date (collectively, the “Omitted Services”). At any time during the sixty (60) day period immediately following the Effective Date, a Service Recipient may provide written notice to its Service Provider requesting such Omitted Services setting forth in reasonable detail a description of the requested Omitted Service(s), the proposed start date or dates and the proposed termination date or dates. The Parties agree to cooperate and negotiate in good faith using reasonable efforts in order to come to an agreement regarding the provision of Omitted Services on reasonable terms and conditions that are mutually agreed to by the Parties; provided however, that if the Parties cannot agree on the termination date or dates of the Omitted Service(s), such service(s) shall be provided for a ninety (90)-day term. Any Omitted Services shall be subject in all respects to the terms of this Agreement, shall be considered added to Schedule 1 or Schedule 2, as applicable, shall constitute an agreed amendment to this Agreement and shall thereafter be considered a Scheduled Service.

  • Personal Services The Member shall not be required to perform services for the Company solely by virtue of being a Member.

  • The Services Custodian shall provide to the Funds the services described in Exhibit A attached hereto (which services are hereinafter referred to as the “Services”). The Funds shall, promptly after the date hereof, deliver or cause to be delivered to Custodian copies of all documents and information listed on Schedule II to this Loan Servicing Agreement relating to the loans or loan commitments (the “Loans”) being serviced for the loan portfolio(s) described on Exhibit A-1 (the “Portfolio(s)”).

  • Customer Relationships The Executive understands and acknowledges that the Company has expended significant resources over many years to identify, develop, and maintain its clients. The Executive additionally acknowledges that the Company’s clients have had continuous and long-standing relationships with the Company and that, as a result of these close, long-term relationships, the Company possesses significant knowledge of and confidential information about its clients and their needs. Finally, the Executive acknowledges the Executive’s association and contact with these clients is derived solely from Executive’s employment with the Company. The Executive further acknowledges that the Company does business throughout the United States and that the Executive personally has significant contact with the Company’s clients and customers solely as a result of Executive’s relationship with the Company.
