Customer Audits. Customer agrees to exercise any right it may have to conduct an audit or inspection, including under the Standard Contractual Clauses if they apply, by instructing AWS to carry out the audit described in Section 10. If Customer wishes to change this instruction regarding the audit, then Customer has the right to request a change to this instruction by sending AWS written notice as provided for in the Agreement. If AWS declines to follow any instruction requested by Customer regarding audits or inspections, Customer is entitled to terminate this DPA and the Agreement. If the Standard Contractual Clauses apply, nothing in this Section varies or modifies the Standard Contractual Clauses nor affects any supervisory authority’s or data subject’s rights under the Standard Contractual Clauses.
Customer Audits. 4me also grants Audit Rights described in 10.4 of this Addendum to Customer and any other person or legal entity appointed by each of them with respect to the Services, but only to the extent necessary to comply with laws and regulatory requirements of any applicable jurisdiction. Customer may exercise this Audit Right annually. If 4me declines to follow any instruction requested by Customer regarding audits or inspections, Customer is entitled to terminate this Addendum and the Agreement.
Customer Audits. Customer chooses to conduct any audit, including any inspection, it has the right to request or mandate on its own behalf, and on behalf of its controllers when Customer is acting as a processor, under Applicable Data Protection Law or the Standard Contractual Clauses, by instructing AWS to carry out the audit described in Section 10. If Customer wishes to change this instruction regarding the audit, then Customer has the right to request a change to this instruction by sending AWS written notice as provided for in the Agreement. If AWS declines to follow any instruction requested by Customer regarding audits, including inspections, Customer is entitled to terminate the Agreement in accordance with its terms.
Customer Audits. Customer or its independent third party auditor may audit SAP’s control environment and security practices relevant to Personal Data processed by SAP only if:

If Customer (or an authorized Customer Affiliate) has entered into Model Contract Clauses as described in Section 10.2 of this Data Processing Amendment, Customer or such Customer Affiliate may exercise the audit rights granted under clauses 5(f) and 12(2) of such Model Contract Clauses:
Customer Audits. During the last three (3) years (i) no audit has been conducted by or on behalf of the Company or any of its Subsidiaries which has revealed an underpayment of royalties by any customer in excess of $15,000,000; and (ii) to the Knowledge of the Company, no customer has manipulated the average sales price (as defined in the relevant customer’s Contract with the Company or any of its Subsidiaries) of any Company Product for the purpose of reducing the royalties payable to the Company or any of its Subsidiaries.
Customer Audits. AWS engages external auditors to verify the adequacy of its security measures, including the security of the physical data centers from which AWS provides its services. This audit will result in the generation of an audit report (“Report”). SAP will make the Report available to Customer or Customer’s supervisory data protection authority upon Customer’s request. Customer agrees, that (i) each Report is considered confidential information and therefore subject to the confidentiality provisions of the Agreement and (ii) notwithstanding any contrary terms in the Agreement, Customer hereby expressly acknowledges and agrees that AWS shall be deemed a third party beneficiary of, and shall be entitled to directly enforce against Customer, such confidentiality provisions of the Agreement in the event of a breach by the Customer. For the avoidance of doubt, such rights shall be limited to the confidentiality of Reports only. In case Customer has to disclose a confidential Report to a supervisory data protection authority Customer will inform the authority in writing that the Report is AWS’ confidential information.
