Custody of Receivables Files. (a) In connection with the sale, transfer and assignment of the Receivables and the Other Conveyed Property to the Trust pursuant to this Agreement the Custodian hereby agrees to act as custodian of and bailee for the Grantor Trust (for the further benefit of the Trust as the holder of the Grantor Trust Certificate and the Indenture Trustee for the further benefit of all present and future Securityholders) with respect to the following documents or instruments in its possession which shall be delivered to the Custodian by CPS on or before the Closing Date (with respect to each Initial Receivable) or the applicable Subsequent Transfer Date (with respect to each Subsequent Receivable):
