CUSTODY AND RELATED SERVICES. 1. (a) Subject to these Global Custody Terms and Conditions, Pledgor hereby authorizes Securities Intermediary to hold any Securities received by it from time to time for Pledgor’s account. Securities Intermediary shall be entitled to utilize Depositories and Subcustodians to the extent possible in connection with its performance hereunder. Securities and cash deposited by Securities Intermediary in a Depository will be held subject to the rules, terms and conditions of such Depository. Securities and cash held through Subcustodians shall be held subject to the terms and conditions of Securities Intermediary’s agreements with such Subcustodians. Subcustodians may be authorized to hold Securities in central securities depositories or clearing agencies in which such Subcustodians participate. Unless otherwise required by local law or practice or a particular subcustodian agreement, Securities deposited with Subcustodians will be held in a commingled account in the name of Securities Intermediary as custodian or trustee for its customers. Securities Intermediary shall identify on its books and records the Securities and cash belonging to Pledgor, whether held directly or indirectly through Depositories or Subcustodians.

Securities Intermediary Custodian shall be entitled to utilize Depositories and Subcustodians to the extent possible in connection with its performance hereunder. Custodian will make available information to Customer identifying the Depositories and Subcustodians Custodian may, from time to time, use in connection with its performance hereunder. Securities and cash deposited by Securities Intermediary Custodian in a Depository will be held subject to the rules, terms and conditions of such Depository. Securities and cash held through Subcustodians shall be held subject to the terms and conditions of Securities IntermediaryCustodian’s agreements with such Subcustodians. Subcustodians may be authorized to hold Securities in central securities depositories or clearing agencies in which such Subcustodians participate. Unless otherwise required by local law or practice or a particular subcustodian agreement, Securities deposited with Subcustodians will be held in a commingled account in the name of Securities Intermediary Custodian as custodian or trustee for its customers. Securities Intermediary Custodian shall identify on its books and records the Securities and cash belonging to Pledgoreach Customer, whether held directly or indirectly through Depositories or Subcustodians.

Securities Intermediary Custodian shall be entitled to utilize Depositories and Subcustodians to the extent possible in connection with its performance hereunder. Securities and cash deposited by Securities Intermediary the Custodian in a Depository or Foreign Depository will be held subject to the rules, terms and conditions of such Depositoryentity. Securities and cash held through Subcustodians shall be held subject to the terms and conditions of Securities IntermediaryCustodian’s agreements with such Subcustodians. Subcustodians may be authorized to hold Securities in central securities depositories Depositories or clearing agencies Foreign Depositories in which such Subcustodians participateSubcustodian participates. Unless otherwise required by local law or practice or a particular subcustodian agreement, Securities deposited with Subcustodians Subcustodians, Depositories or Foreign Depositories will be held in a commingled account in the name of Securities Intermediary as custodian the Custodian or trustee a BNYM Affiliate for its customers. Securities Intermediary Custodian shall identify on its books and records the Securities and cash belonging to PledgorCustomer, whether held directly or indirectly through Depositories, Foreign Depositories or Subcustodians. Such books and records shall be prepared and maintained by Custodian as required by the 1940 Act and the rules thereunder.
