Current Balance Sheet. Notwithstanding anything to the contrary set forth in the Asset Purchase Agreement and except as otherwise provided below, (i) all references in the Asset Purchase Agreement to the "Current Balance Sheet" shall mean the balance sheet of each of the Operational Sellers and the Company dated as of April 30, 2001 and attached as Exhibit 12 to this Amendment and (ii) all references in the Asset Purchase Agreement to the "Current Balance Sheet Date" shall mean April 30, 2001; provided, however, that with respect to the penultimate sentence of Section 4.18 and Sections 4.26(a) and 4.28 of the Asset Purchase Agreement, the definition of "Current Balance Sheet" and "Current Balance Sheet Date" shall mean (i) the balance sheet of each of the Operational Sellers and the Company dated as of March 31, 2001 and included in the Financial Statements attached as Schedule 4.33 to the Asset Purchase Agreement and (ii) March 31, 2001, respectively.
Current Balance Sheet. Five (5) Business Days prior to the Closing, the Company shall prepare and deliver to the Parent unaudited, consolidated balance sheets of the Company Group for the period ending the last day of the calendar month immediately preceding such date of delivery; provided, however, that if the Closing occurs in the first fifteen (15) Business Days after the date that is the last day of the preceding calendar month, then the Company Group shall prepare and deliver to the Parent unaudited balance sheets of the Company Group for the period ending the last day of the penultimate calendar month immediately preceding such date of delivery.

Current Balance Sheet. Current Balance Sheet" shall mean --------------------- the unaudited consolidated balance sheet of the Xxxx Group as of December 31, 1998, prepared on the same basis and applying the same accounting principles, policies, assumptions, methodologies and practices that were used in preparing the balance sheet included in the Company Consolidated Financial Statements, adjusted to reflect consummation of the Pre-Closing Transactions contemplated in Section 2.03(b), (c), (d), (e) and (f) hereof, which balance sheet is included -------------------------------------- in the financial statements attached as Schedule 1.26 hereto. -------------
Current Balance Sheet. Seller has previously furnished to Buyer an unaudited statement of the assets and liabilities of the Business as of December 31, 1999 (the "Current Balance Sheet"). To the knowledge of Seller, the Current Balance Sheet presents fairly the financial position of the Business as of date indicated and has been prepared on a basis consistent with the audited financial statements of Seller.
