Common use of Covered Termination Clause in Contracts

Covered Termination. “Covered Termination” shall mean Executive’s Constructive Termination or the termination of Executive’s employment by the Company other than for Cause.

Notwithstanding the foregoing, the transfer of Executive’s employment to any Affiliate shall not be a Covered Termination.

For the avoidance of doubt, in consideration of the Company’s obligations under this Agreement and the 2020 Offer Letter, Executive agrees that the 2020 Management Changes do not and will not constitute a Covered Termination.
