Covenants Undertakings. (i) The Service Provider shall comply with the terms and conditions specified in the Service Provider Agreement and all other Transaction Documents as also ensure compliance of the Transaction Documents by its personnel and relevant persons who are party to / have executed or furnished the Transaction Documents. The Service Provider shall adhere to fair practice in performance of the Services.

Covenants Undertakings. 6.1 The Vendor undertakes to and covenants with the Purchaser that the Vendor will not at any time after the date of this Agreement do, permit or say anything which is likely or intended to damage the goodwill or reputation of the Company or of any business carried on by the Company or which may lead any person to cease to do business with the Company on substantially equivalent terms to those previously offered or not to engage in business with the Company.

Notwithstanding any other provision of this Agreement, no payment shall be made or benefit provided pursuant to Section 4(c) following the date Executive first violates any of the restrictive covenants set forth in the Loyalty Agreement, and as of the first date on which Executive violates any such restrictive covenants, Executive shall pay the Company an amount equal to the sum of all payments theretofore paid to Executive pursuant to Section 4(c).
