Covenants as to Coastal Capital Trust I. In the event Securities are issued to Coastal Capital Trust I or a trustee of such Trust in connection with the issuance of Trust Securities by Coastal Capital Trust I, for so long as such Trust Securities remain outstanding, the Company (i) will maintain 100% direct or indirect ownership of the Common Securities of Coastal Capital Trust I; PROVIDED, HOWEVER, that any successor of the Company, permitted pursuant to Article X, may succeed to the Company's ownership of such Common Securities, (ii) will not cause, as Sponsor of the Trust, or permit, as holder of the Common Securities, the dissolution or winding-up of the Trust, except in connection with the distribution of the Junior Subordinated Debentures or certain mergers, consolidations or amalgamation, each as permitted by the Declaration, (iii) will timely perform its duties as sponsor of the Trust, (iv) will use its reasonable best efforts to cause Coastal Capital Trust I (a) to remain a business trust, except in connection with a distribution of Securities to the holders of Trust Securities in liquidation of the Trust, the redemption of all of the Trust Securities of Coastal Capital Trust I or certain mergers, consolidations or amalgamations, each as permitted by the Declaration, and (b) to otherwise continue to be treated as a grantor trust and not an association taxable as a corporation for United States federal income tax purposes and (v) will use its reasonable best efforts to cause each holder of Trust Securities to be treated as owning an undivided beneficial interest in the Securities.

  • COVENANTS AS TO THE TRUST For so long as such Trust Securities of the Trust remain outstanding, the Company shall (i) maintain 100% direct or indirect ownership of the Common Securities of the Trust; provided, however, that any permitted successor of the Company under this Indenture may succeed to the Company's ownership of the Common Securities; (ii) not voluntarily terminate, wind up or liquidate the Trust, except upon prior regulatory approval if then so required under applicable capital guidelines or regulatory policies and use its reasonable efforts to cause the Trust (a) to remain a business trust, except in connection with a distribution of Debentures, the redemption of all of the Trust Securities of the Trust or certain mergers, consolidations or amalgamations, each as permitted by the Trust Agreement; and (b) to otherwise continue not to be treated as an association taxable as a corporation or partnership for United States federal income tax purposes; and (iii) use its reasonable efforts to cause each holder of Trust Securities to be treated as owning an individual beneficial interest in the Debentures. In connection with the distribution of the Debentures to the holders of the Preferred Securities issued by the Trust upon a Dissolution Event, the Company shall use its best efforts to list such Debentures on The Nasdaq Stock Market's National Market or on such other exchange as the Preferred Securities are then listed.

The Lock-Up Period will commence on the date hereof and continue for 60 days after the date hereof or such earlier date that Credit Suisse consents to in writing.
