Common use of Covenant Not to Disparage Clause in Contracts

Covenant Not to Disparage. From and after the Closing Date, neither Seller nor Buyer shall at any time, directly or indirectly, disparage or make any statement or publication that is intended to or has the effect of disparaging, impugning or injuring the reputation or business interests of the other party and any of its respective Affiliates or any of its respective products, services, officers or employees regardless of any perceived truth of such statement or publication.
