Common use of Costs and Expenses Clause in Contracts

Costs and Expenses. The Seller shall pay all expenses incident to the performance of its obligations under this Agreement and the Seller agrees to pay all reasonable out-of-pocket costs and expenses of the Depositor, in connection with the perfection as against third parties of the Depositor’s, the Issuer’s and the Indenture Trustee’s right, title and interest in and to the Receivables and the enforcement of any obligation of the Seller hereunder.

Costs and Expenses. The Seller shall will pay all expenses incident incidental to the performance of its obligations under this Agreement and the Seller agrees to pay all reasonable out-of-pocket costs and expenses of the Depositor, Purchaser in connection with the perfection as against third parties of the Depositor’s, the Issuer’s and the Indenture TrusteePurchaser’s right, title and interest in and to the Receivables First-Tier Assets and the other property and rights sold hereunder and the enforcement of any obligation of the Seller hereunder.

The Seller shall will pay all expenses incident incidental to the performance of its obligations under this Agreement and the Seller agrees to pay all reasonable out-of-pocket costs and expenses of the Depositor, Purchaser in connection with the perfection as against third parties of the Depositor’s, the Issuer’s and the Indenture TrusteePurchaser’s right, title and interest in and to the Receivables Second-Tier Assets and the other property and rights sold hereunder and the enforcement of any obligation of the Seller hereunder.

The Seller shall will pay all expenses incident to the performance of its their respective obligations under this Agreement and the Seller agrees to pay all reasonable out-of-pocket costs and expenses of the DepositorPurchaser, excluding fees and expenses of counsel, in connection with the perfection as against third parties of the Depositor’s, the Issuer’s and the Indenture Trustee’s Purchaser's right, title and interest in and to the Receivables and security interests in the Financed Vehicles and the enforcement of any obligation of the Seller hereunder.

Costs and Expenses. The Seller shall will pay all expenses incident to the performance of its obligations under this Agreement Agreement, and the Seller agrees to pay all reasonable out-of-pocket costs and expenses of the DepositorPurchaser, excluding fees and expenses of counsel, in connection with the perfection as against third parties of the Depositor’s, the Issuer’s and the Indenture TrusteePurchaser’s right, title and interest in and to the Receivables and the enforcement of any obligation of the Seller hereunder.

Costs and Expenses. The Seller shall Sellers will pay all expenses incident to the performance of its obligations under this Agreement and the Seller agrees Sellers, as joint and several obligors, agree to pay all reasonable out-of-pocket costs and expenses of Funding and the DepositorFacility Agent, including fees and expenses of counsel, in connection with the perfection as against third parties of Funding's or the Depositor’s, the Issuer’s and the Indenture Trustee’s Facility Agent's right, title and interest in and to the Receivables Transferred Property and the enforcement of any obligation obligations of the Seller Sellers hereunder.

Costs and Expenses. The Seller shall will pay all expenses incident to the performance of its obligations under this Agreement and the Seller agrees to pay all reasonable out-of-pocket costs and expenses of the DepositorPur chaser, excluding fees and expenses of counsel, in connection with the perfection as against third parties of the Depositor’s, the Issuer’s and the Indenture Trustee’s Purchaser's right, title and interest in and to the Receivables and Receiv- ablex xxx the enforcement of any obligation of the Seller hereunder.

Section 6.05.
