Cost of Supply. Adolor shall supply such API Compound and such -------------- formulated Collaboration Products to GSK at Adolor' Cost of Goods therefor and GSK shall be responsible for shipping, insurance and other related expenses. For the time period from the Effective Date through **, the Cost of Goods for API Compound shall **, unless otherwise mutually agreed between the Parties. Thereafter, Adolor will use Commercially Reasonable Efforts to provide a Cost of Goods for API Compound **, unless otherwise mutually agreed between the Parties, to be adjusted for inflation commencing with the Calendar Year beginning January 1, 2004, using the Producer Price Index as published by the Bureau of Labor Statistics of the U.S. Department of Labor; provided Adolor will use Commercially Reasonable Efforts to decrease the cost of such API Compound and formulated Collaboration Products. GSK shall pay for such API Compound in advance to the extent that Adolor is required to make payments in advance to its Product Supplier.

Cost of Supply. During the period from the Effective Date until April 1, 2002, WFHC agrees to pay ORTHO for Product supplied according to the Fully Burdened Costs set forth in Exhibit F. Beginning in the 2nd calendar quarter 2002, for product purchases from ORTHO, WFHC agrees to pay the Supply Costs set forth in Exhibit F plus a premium of 30% of Net Sales, which premium will increase each calendar quarter thereafter by 10% of Net Sales. Payments to ORTHO are due on a quarterly basis 30 days after receipt of an invoice for Product supplied during the past calendar quarter.
Cost of Supply. For the supply of Product and/or Product Materials pursuant to Sections 8.1 or 8.2, Basilea shall bear the out-of-pocket costs and internal costs (on FTE basis) that are incurred by ArQule in connection with such supply. Schedule 4 provides estimates for the out-of-pocket costs and internal costs (on an FTE basis) of such supply. For supply activities provided by a Third Party, Basilea shall bear the costs on a pass-through basis (without mxxx-up). ArQule shall invoice Basilea on a monthly basis for all out-of-pocket costs and internal costs (on FTE basis) so incurred. Basilea shall pay each such invoice within *** days of receipt.

Cost of Supply. The tariffs for various categories/voltages shall be benchmarked with and shall progressively reflect the cost of supply based on costs that are prudently incurred by the Distribution Licensee in its operations. The category-wise/voltage-wise cost to supply may factor in such characteristics as the load factor, voltage, extent of technical and commercial losses etc. The consumers availing electricity at higher voltage shall be entitled to receive suitable rebate, as stipulated by the Commission. However, pending the availability of information that reasonably establishes the category wise/voltage-wise cost to supply, average cost of supply shall be used as the benchmark for determining tariffs.
