Common use of Corrupt Practices Clause in Contracts

Corrupt Practices. Except in compliance with all Laws, neither the Seller, its Subsidiaries nor any of their Affiliates, or each of their respective officers, directors, employees or agents, have, directly or indirectly, ever made, offered or agreed to offer anything of value to (i) any employees, representatives or agents of any customers of Seller or its Affiliates for the purpose of attracting business to Seller or its Affiliates or (ii) any domestic governmental official, political party or candidate for government office or any of their employees, representatives or agents.

Except in compliance with all LawsLegal Requirements, neither the Seller, its Subsidiaries the Company, nor any of their AffiliatesRelated Persons, or each of their respective officers, directors, employees or agents, have, directly or indirectly, ever made, offered or agreed to offer anything of value to (ia) any employees, representatives Representatives or agents of any customers of Seller or its Affiliates the Company for the purpose of attracting business to Seller or its Affiliates the Company or (iib) any domestic governmental official, political party or candidate for government office or any of their employees, representatives Representatives or agents.

Except in compliance with all LawsLegal Requirements, neither the SellerSeller nor GFD, its Subsidiaries nor any of their AffiliatesRelated Persons, or each of their respective officers, directors, employees or agents, have, directly or indirectly, ever made, offered or agreed to offer anything of value to (i) any employees, representatives Representatives or agents of any customers of Seller or its Affiliates GFD for the purpose of attracting business to Seller or its Affiliates GFD, or (ii) any domestic governmental official, political party or candidate for government office or any of their employees, representatives Representatives or agents.

Except in compliance with all Applicable Laws, neither Sellers nor the Seller, its Subsidiaries Company nor any of their Affiliates, or each of their respective officers, directors, employees or agents, have, directly or indirectly, ever made, offered or agreed to offer anything of value to (ia) any employees, representatives or agents of any customers of Seller or its Affiliates the Business for the purpose of attracting business to Seller or its Affiliates or (iib) with respect to the Business, any domestic governmental official, political party or candidate for government office or any of their employees, representatives or agents.
