Corporate Structures. Due to the particular corporate structures of X.X. Xxxxxxxx Tobacco Company ("Xxxxxxxx") and Xxxxx & Xxxxxxxxxx Tobacco Corporation ("B&W") with respect to their non-domestic tobacco operations, Xxxxxxxx and B&W shall be severally liable for their respective shares of each payment due pursuant to this Agreement up to (and their liability hereunder shall not exceed) the full extent of their assets used in and earnings derived from, the manufacture and/or sale in the States of Tobacco Products intended for domestic consumption, and no recourse shall be had against any of their other assets or earnings to satisfy such obligations.
