Corporate Services Agreement. The Corporate Services Agreement between the Borrower and each of its Subsidiaries, each as originally executed and delivered to the Bank.

Corporate Services Agreement. The agreement between Hilton and Gaming Co. governing the provision of services by Gaming Co. to Hilton for a period following the Distribution Date, which agreement shall be entered into on or prior to the Distribution Date in substantially the form attached hereto as Exhibit B.
Corporate Services Agreement. Pursuant to the Corporate Services Agreement the Corporate Services Provider will agree to provide certain corporate book-keeping, taxation, compliance, secretarial and accounting services to the Issuer. In return for the services so provided, the Corporate Services Provider will receive a fee payable by the Issuer on each Payment Date in accordance with the relevant Priority of Payments. The Corporate Services Agreement may be terminated by any of the parties thereto on not less than 90 days' written notice to the other party or, at any time forthwith by notice in writing if the other party shall have at any time (a) committed a material breach of any of the terms of the Corporate Services Agreement and has not remedied such breach within 30 days of being required to do so or (b) been the subject of one or more insolvency events as specified in the Corporate Services Agreement. No termination of the appointment of the Corporate Services Provider may occur unless a successor corporate services provider acceptable to the Issuer has been appointed and has acceded to the terms of the Corporate Services Agreement. The Corporate Services Provider will provide corporate administration and secretarial services to the Issuer which will include:

Corporate Services Agreement. (a) The Issuer shall terminate the Corporate Services Agreement pursuant to its terms upon any material default or material breach by NRG Energy thereunder, if XLCA (as long as XLCA is the Controlling Party) so directs.
Corporate Services Agreement. The Issuer shall not (a) enter into any agreement replacing the existing Corporate Service Agreement without the prior written consent of XLCA, (if XLCA is the Controlling Party), which consent shall not be unreasonably withheld or (b) materially amend, modify or supplement or permit or consent to the material amendment, modification or supplement of, any provision of the Corporate Service Agreement without the prior written consent of XLCA (if XLCA is the Controlling Party), which consent shall not be unreasonable withheld.
Corporate Services Agreement. The Parties hereto do hereby acknowledge that on the Closing Date, the Buyer and the Company will enter into a corporate services agreement with the Parent, in the form of Exhibit 2 to the Shareholders Agreement made a part hereof (the “Corporate Services Agreement”), pursuant to which the Parent shall be paid the sum of $450,000 per year to cover certain corporate overhead, executive management and professional advisory services provided by the Parent to the Buyer and the Company.
