Common use of Corporate Resolutions Clause in Contracts

Corporate Resolutions. A copy of a resolution or resolutions passed by the Board of Directors of the Company, certified by the Secretary or an Assistant Secretary of the Company as being in full force and effect on the date hereof, authorizing the amendments to the Agreement herein provided for and the execution, delivery and performance of this Amendment and any note or other instrument or agreement required hereunder.

Corporate Resolutions. A copy copy, duly certified as true, correct, complete and in effect by its secretary or assistant secretary as of a resolution or resolutions passed by the Board of Directors of the Company, certified by the Secretary or an Assistant Secretary of the Company as being in full force and effect on the date hereof, of resolutions of its board of directors authorizing the amendments to transactions described in the Agreement herein provided for Transaction Documents and the execution, execution and delivery of and performance of this Amendment under the Transaction Documents and any note or all other instrument or agreement documents required hereunder.to accomplish and implement the foregoing;

A copy of a resolution or resolutions passed by the Board of Directors of the CompanyBorrower, certified by the Secretary or an Assistant Secretary of the Company Borrower as being in full force and effect on the date hereof, authorizing the amendments to the Agreement herein provided for and the execution, delivery and performance of this Sixth Amendment and any note or other instrument or agreement required hereunder.

A copy of a resolution or resolutions passed by the Board Borrower's board of Directors of the Company, directors and certified by the Secretary Borrower's secretary or an Assistant Secretary of the Company assistant secretary as being in full force and effect on the date hereofClosing Date, authorizing the amendments to the Agreement herein borrowing provided for in this Agreement, and the execution, delivery and performance of this Amendment Agreement, the Note, Security Agreement and any note or other instrument or agreement required hereunderunder this Agreement, as set forth in Exhibit D attached.
