Corporate Records. True and correct copies of the Articles or Certificate of Incorporation, Bylaws and minutes of Company and all amendments thereto have been delivered to Pentegra. The minute books of Company contain accurate minutes of all meetings of and consents to actions taken without meetings of the Board of Directors and stockholders of Company since its formation. The books of account of Company have been kept accurately in the ordinary course of business and the revenues, expenses, assets and liabilities of Company have been properly recorded in such books.
