Common use of Corporate Power and Authorization Clause in Contracts

Corporate Power and Authorization. The Company has all requisite corporate power and authority to issue this Warrant and to perform each of its obligations hereunder. All corporate action on the part of the Company, its directors and stockholders necessary or advisable for the authorization, execution, delivery and performance by the Company of this Warrant has been taken. This Warrant is a valid and binding obligation of the Company, enforceable in accordance with its terms.

Corporate Power and Authorization. The Company has all the requisite corporate power and authority to issue the Shares, the Warrants and the Warrant Shares, to execute, deliver, and perform its obligations under this Warrant Agreement and to perform each of its obligations hereunderconsummate the transactions contemplated hereby. All corporate action on the Company's part requisite for the due issuance of the CompanyShares, its directors Warrants and stockholders necessary or advisable the Warrant Shares and for the authorization, due execution, delivery delivery, and performance by the Company of this Warrant Agreement has been duly and effectively taken. This Warrant is a valid and binding obligation of the Company, enforceable in accordance with its terms.
