Corporate Power and Authorization. The Company has all requisite corporate power and authority to issue this Warrant and to perform each of its obligations hereunder. All corporate action on the part of the Company, its directors and stockholders necessary or advisable for the authorization, execution, delivery and performance by the Company of this Warrant has been taken. This Warrant is a valid and binding obligation of the Company, enforceable in accordance with its terms.
