Common use of Corporate Power and Authorization Clause in Contracts

Corporate Power and Authorization. UniCapital and Newco have the corporate power, authority and legal right to execute, deliver and perform this Agreement. The execution, delivery and performance of this Agreement and all related documents and agreements required to be executed and delivered by UniCapital and Newco in accordance with the provisions hereof (the "UniCapital Documents") have been duly authorized by all necessary corporate action. This Agreement has been duly executed and delivered by UniCapital and Newco and constitutes, and the UniCapital Documents when executed and delivered will constitute, the legal, valid and binding obligations of UniCapital and Newco enforceable against UniCapital and Newco in accordance with their terms.

This Agreement has been duly executed and delivered by UniCapital and Newco and constitutes, and the UniCapital Documents when executed and delivered will constitute, the legal, valid and binding obligations of UniCapital and Newco enforceable against UniCapital and Newco in accordance with their its terms.
