Corporate Organization and Good Standing. The Company is a limited liability company duly organized, validly existing, and in good standing under the laws of its state of formation, and it has the requisite power and authority to own its properties and to conduct its business in the manner in which such business is presently conducted. The correct legal name of the Company, its state of organization, and the correct address of its principal place of business are set forth in SCHEDULE 6.1 to this Credit Agreement.
