Common use of Corporate Approvals Clause in Contracts

Corporate Approvals. Buyer shall have delivered to Seller copies of resolutions of the board of directors of Buyer authorizing the execution, delivery and performance of this Agreement and the transactions contemplated hereby, which shall be duly certified by the corporate secretary of Buyer. Buyer shall also have delivered to Seller certificates of good standing for Buyer.

Corporate Approvals. Buyer Sellers shall have delivered to Seller Buyer copies of resolutions of the board of directors of Buyer Directors and shareholders and members and managers, as applicable, authorizing the execution, delivery and performance of this Agreement and the transactions contemplated hereby, which shall be duly certified by the corporate secretary or a manager, as applicable, of BuyerSellers. Buyer Sellers shall also have delivered to Seller certificates Buyer a certificate of good standing for BuyerSellers.

Buyer shall also have delivered to Seller certificates of good standing for Buyerthe applicable Purchaser.

The Buyer shall have delivered to Seller copies of received certified resolutions of the board Board of directors Directors and the shareholders of Buyer the Seller, in form reasonably satisfactory to counsel for the Buyer, duly authorizing the Seller's execution, delivery and performance of this Agreement and the transactions contemplated hereby, which shall all actions to be duly certified taken by the corporate secretary of Buyer. Buyer shall also have delivered to Seller certificates of good standing for Buyerhereunder.
