Copies of Pleadings. Seller shall provide Buyer with drafts of all documents, motions, orders, filings or pleadings that it proposes to file with the Bankruptcy Court that relate to the approval of this Agreement and the consummation of the transactions contemplated hereby, and will provide Buyer with reasonable opportunity to review and approve such filings. Seller shall also promptly (within one (1) business day) provide Buyer with copies of all pleadings received by or served by or upon Seller in connection with the Bankruptcy Case that relate to or may reasonably be expected to affect the transactions provided for in this Agreement and which have not otherwise been served on Buyer.

Copies of Pleadings. Company shall provide to Agent, immediately upon receipt, copies of any correspondence, notice, pleading, citation, indictment, complaint, order, decree or other document from any source asserting or alleging a circumstance or condition which requires or may require a financial contribution by Company or any Guarantor or a cleanup, removal, remedial action or other response by or on the part of Company or any Guarantor under applicable Environmental Laws or which seeks damages or civil, criminal or punitive penalties from Company or any Guarantor for an alleged violation of Environmental Laws.
Copies of Pleadings. Seller shall consult with Buyer concerning the Bidding Procedures Order, the Sale Order and any other Orders of the Bankruptcy Court relating to the transactions contemplated hereby, and the bankruptcy pleadings and proceedings in connection therewith. Copies of Pleadings. The Borrowers shall provide the Lender and the Lender's counsel (to the extent not served on the Lender or its counsel) with copies, when so filed or submitted, of any pleading filed in the Proceedings by or on behalf of the Borrowers or the submission by or on behalf of the Borrowers of any report or financing statement to the Bankruptcy Court in which the Proceedings are pending, the office of the United States Trustee, or any committee appointed in the Proceedings.

The Vendor and the Corporation shall also promptly (and, in any event, within two (2) Business Days) provide the Purchaser with copies of all pleadings received by or served by or upon the Vendor or the Corporation in connection with the CCAA Proceedings that relate to the Bidding Procedures or, in the Vendor’s or the Corporation’s judgment, are reasonably expected to affect the transactions provided for in this Agreement and which have not, to the actual knowledge of the Vendor or the Corporation, as applicable, otherwise been served on the Purchaser.

Copies of Pleadings. Borrowers shall furnish to the Lenders concurrently with the filing thereof, copies of all written pleadings, motions, applications, financial information, petitions, schedules, reports and other papers and documents filed by or on behalf of any Borrower in the Case (and all amendments or supplements thereto), including, without limitation, all United States Trustee reports, all schedules and reports required by Section 521 of the Bankruptcy Code and Bankruptcy Rules 1007 or 1009, and all fee applications for professionals retained by the Bankruptcy Court pursuant to Section 327 of the Bankruptcy Code.

  • Copies of Filings The Trust and the Company shall provide to each other at least one complete copy of all Registration Statements, Prospectuses, Statements of Additional Information, periodic and other shareholder or Contract Owner reports, proxy statements, solicitations of voting instructions, applications for exemptions, requests for no-action letters, and all amendments or supplements to any of the above, that relate to the Trust, the Contracts or the Account, as the case may be, promptly after the filing by or on behalf of each such party of such document with the SEC or other regulatory authorities (it being understood that this provision is not intended to require the Trust to provide to the Company copies of any such documents prepared, filed or used by Participating Investors other than the Company and the Account).
