Cooperative Marketing. H/C I Owner and SECC Owner each covenant in favor of the other as follows:
Cooperative Marketing. When IBM elects to assist you for a fee in marketing your Products and Services to Public Sector customers as set forth in the Cooperative Marketing Attachment, you will contract directly with the Public Sector customer. You shall 1) promptly disclose to all Public Sector customers the existence of this Agreement, including the existence of the contingent fee payment arrangement in effect with IBM that would apply to the Public Sector customer's acquisition of the Product(s), 2) promptly, completely, and accurately execute any certifications, representations, and disclosure documents that may be required by any Public Sector customers to comply with federal regulations requiring certification and disclosure of contingent fee arrangements applicable to the acquisition of the Product(s).
Cooperative Marketing. The parties agree to engage in cooperative marketing ventures whereby they shall assist each other in marketing their products. This shall include but not be limited to including links for each other on their respective Internet Web pages.
Cooperative Marketing. Allegiance and Genuity agree that it is in their best interests to market each other's services. If Allegiance is approached by a customer or potential customer who desires certain services which Allegiance can supply within a specific area, but not beyond that area, Allegiance shall refer said customer or potential customer to Genuity if Allegiance and Genuity mutually agree that it is in both of their best interests for Allegiance to make such a referral.
Cooperative Marketing. Each party shall develop and implement a marketing plan which shall include the terms of the plan dated the same date as this Agreement to promote the sale of the Products, including development of a mutually agreeable marketing budget, and, where appropriate, joint advertising and promotional efforts. Such advertising and promotional programs will include all trade shows and dental conventions at which Xxxxxxxxx is participating. Vendor shall provide Xxxxxxxxx any sales leads generated through such activity. Vendor and Xxxxxxxxx reserve the right to disapprove any advertising which varies substantially from the type and kind in general use by Xxxxxxxxx or Vendor in the United States and Canada as long as such disapproval is communicated within 48 hours of receipt. In the event of such disapproval by either Vendor or Xxxxxxxxx, neither Vendor nor Xxxxxxxxx will utilize or disseminate the advertising in question.
Cooperative Marketing. 3.01 Each party shall have freedom of action to pursue business opportunities independently of the other. However, it is the parties' intention to work together to promote one another's products and services for their mutual benefit and, to that end, Xionics will use all reasonable efforts to supply WaveMark with enough high-quality business opportunities to keep it fully occupied during the first year of this Agreement.
