Cooperative Actions. Seller and Buyer acknowledge and agree that all of the covenants and agreements under the PSA relating to cooperation in connection with the implementation of the transactions contemplated by the PSA and this Agreement, including those set forth in Section 6.3(c), are applicable to this Agreement.

Cooperative Actions. Seller and Buyer shall cooperate with each other in carrying out, implementing and defending the terms of this Agreement, including cooperating with each other with respect to any claims or litigation challenging any of the terms of this Agreement. Seller and Buyer agree to good faith mutual cooperation in any investigation, inquiry or litigation which jointly involves them or in which a party makes a reasonable request for cooperation. Each party will make its employees available on a reasonable basis to give testimony and assistance in connection with any lawsuit, dispute, investigation or proceeding involving the other party; provided, however, that such other party shall pay for all out-of-pocket costs incurred in connection with providing such testimony and assistance. Except as otherwise provided in this Agreement, each party will pay all costs and expenses of its performance of and compliance with this Agreement.
Cooperative Actions. The Red Cross and the City of Xxxx will coordinate their respective disaster relief activities to maximize services to the community and avoid duplication of efforts in the following ways: Maintain close coordination, liaison, and support at all levels of both the ARC and the City of Xxxx by conferences, meetings, and other means of communication. Include a representative of the other party in appropriate committees, planning groups and task forces formed to mitigate, prepare for, respond to, and recover from disasters and other emergencies. During disasters and emergencies, keep each other informed of the human needs created by the events and the services they are providing. Share current data regarding disasters, to include statistical information, historical information, emerging needs and trends, damage assessments, among others, and disaster declarations, and service delivery. During a disaster or emergency situation the Red Cross will, as appropriate at the request of the City of Xxxx, provide liaison personnel to the City of Xxxx Emergency Operations Center and any district Emergency Operations Centers during a disaster. The City of Xxxx will provide work space and, whenever possible, other required support, such as a computer, e-mail access and a designated phone line for the Red Cross liaison personnel assigned to the Emergency Operations Centers. Allocate the responsibility for joint expenses only in writing and only in advance of any commitment. The Red Cross can provide Canteen Operations, working with the local volunteer fire department during periods of operational response to operations. The City of Xxxx will support the Red Cross in the use of the American Red Cross National Shelter System (NSS) and the Red Cross will coordinate shelter information sharing and reporting with the City of Xxxx. Work together to develop plans and secure resources to facilitate delivery of services to people with disabilities and/or functional and access needs during a disaster. Actively participate in reviewing and carrying out responsibilities outlined in the local emergency operations plans. During the time of disaster and readiness, keep the public informed of the partiescooperative efforts through the public information offices of the Red Cross and the City of Xxxx. Cooperative Actions. A. USDA and USAC (together, the Parties, and individually, a Party) intend to communicate and cooperate to support efficient eligibility determinations for ACP based on participation in USDA Federal benefit programs that are qualifying criteria for ACP to the extent allowed by Federal law. USDA’s FNS administers SNAP pursuant to the Food and Nutrition Act, codified at 7 U.S.C. Chapter 51. Enrollment in SNAP by at least one member of a household qualifies the household for benefits under the FCC’s ACP.13 USDA’s FNS administers WIC pursuant to Section 17 of the Child Nutrition Act, codified at 42 U.S.C. 1786.14 Enrollment in WIC by at least one member of a household qualifies the household for benefits under the FCC’s ACP. 15 USDA’s FNS administers NSLP and SBP. If at least one member of a household has been approved to receive benefits under the free and reduced-price lunch program under the Xxxxxxx X. Xxxxxxx National School Lunch Act (42 U.S.C. § 1751 et seq.) or the school breakfast program under Section 4 of the Child Nutrition Act of 1966 (42 U.S.C. § 1773), the household qualifies for benefits under the FCC’s ACP.16 USDA’s FNS administers FDPIR, which is another qualifying program for ACP and would follow the same household enrollment criteria as SNAP.17
