COOPERATION WITH LICENSOR. Licensee shall publicize such information and details of Licensor’s business operations and that of Licensor’s Affiliates and other licensees of Licensor and Licensor’s Affiliates in such places in the Hotel as Licensor shall, subject to Licensee’s approval not to be unreasonably withheld or delayed, from time to time reasonably require.
COOPERATION WITH LICENSOR. (a) Licensee agrees to cooperate with Licensor in the prosecution of any trademark or copyright application that Licensor may desire to file or in the conduct of any litigation relating to the Property. Licensee shall supply to Licensor such samples, containers, labels, sales information and similar material and, upon Licensor's request, shall procure evidence, give testimony and cooperate with Licensor as may reasonably be required in connection with any such application or litigation.
COOPERATION WITH LICENSOR. LICENSEE agrees to cooperate with LICENSOR in the prosecution of any trademark or copyright application that LICENSOR may desire to file and in the conduct of any litigation or legal proceedings relating to any of the Licensed Works and Marks, including but not limited to being named as a party to any such proceeding, at LICENSOR’s cost and expense. Without limiting the foregoing, LICENSEE shall supply to LICENSOR such samples, containers, labels, sales information and similar material and, upon LICENSOR’s request, shall procure evidence, give testimony, and cooperate with LICENSOR as may reasonably be required in connection with any such application or litigation, or other legal proceedings.
COOPERATION WITH LICENSOR. Licensee shall cooperate, at Licensor’s cost, with Licensor in the filing and prosecution of any applications that Licensor may desire to file with respect to the Licensed Marks or Licensed Domain Names, and for that purpose, such Licensee shall supply to Licensor from time to time, and without charge, such samples and materials as may be reasonably required. Licensee shall execute and deliver to Licensor, at Licensor’s cost, at any time whether during or after the Term of this Agreement, and without any requirement of further consideration or documentation, such documents as Licensor may reasonably request in connection with the Licensed Marks and Licensed Domain Names, including, without limitation, to confirm or record Licensor’s ownership rights therein. Should Licensee fail or refuse to provide and/or execute any such document, Licensee hereby irrevocably appoints Licensor, whose power is coupled with an interest, as Licensee’s attorney-in-fact to prepare and/or execute such document in Licensee’s name and on Licensee’s behalf, and to institute and prosecute any proceedings as Licensor may deem necessary or appropriate to secure, protect, or enforce such intellectual property, including such applications and registrations therefore. The Parties expressly agree that upon expiration or termination of this Agreement, all documents filed or recorded with a trademark office or other authority relating to the licenses granted by this Agreement may be terminated, cancelled, nullified, and/or withdrawn by Licensor alone and Licensee hereby agrees and consents to such termination, cancellation, nullification, and/or withdrawal. Licensee shall not, during the Term of this Agreement, do anything which would in any way damage, injure, or impair the validity and subsistence of the Licensed Marks or Licensed Domain Names, nor shall any Licensee attack, dispute, or challenge, nor aid others to do so, Licensor’s right, title, and interest in and to the Licensed Marks or Licensed Domain Names, or the validity of this Agreement.
COOPERATION WITH LICENSOR. Licensee shall publicize such information and details of Licensor' s business operations and that of Licensor's Affiliates and other licensees of Licensor and Licensor's Affiliates in such places in the Hotel/Casino as Licensor shall from time to time reasonably require. Licensor agrees to provide for reciprocal treatment for Licensee by other licensees of Licensor to the extent the same is currently permitted in existing agreements with other licensees of Licensor or as permitted in future agreements entered into by and between Licensor and licensees of Licensor, as applicable, it being agreed upon that Licensor shall use its commercially reasonable best efforts to include a provision similar to this Section 8(E) in future license agreements for Hotel/Casino developments entered into by Licensor.
COOPERATION WITH LICENSOR. Licensee will reasonably cooperate with Licensor in the mutual exchange of information and ideas, designs and other information that relates to the use and promotion of the Licensed Marks. Upon Licensor's request, Licensee agrees to cause its representatives to attend, at its expense, at least one monthly meeting in New York City with Licensor to discuss future sublicensees, products and channels of distribution, at the times and places designated by Licensor.
COOPERATION WITH LICENSOR. If Licensee learns of any infringement of the Trademarks, Copyright Works or Copyright Materials or of the existence, use or promotion of any xxxx or design similar to the Trademarks, Copyright Works or Copyright Materials, Licensee shall promptly notify Licensor. Licensor will, in its discretion, decide whether to object to such existence, use or promotion. Licensee agrees to cooperate fully with Licensor in the prosecution of any trademark or copyright application that Licensor may desire to file or in the conduct of any litigation relating to the Trademarks, Copyright Works or Copyright Materials, as may reasonably be required by Licensor.
COOPERATION WITH LICENSOR. Programmer, on behalf of Licensor, shall furnish within the Programming all Station identification announcements required by the Communications Laws, and shall, upon request by Licensor, provide (a) information about Programming that is responsive to the public needs and interests of the area served by the Station so as to assist Licensor in the preparation of any required programming reports and (b) other information to enable Licensor to prepare other records, reports and logs required by the FCC or other local, state or federal governmental agencies. Programmer shall maintain and deliver to Licensor all records and information required by the FCC to be placed in the public inspection file of the Station pertaining to the broadcast of political programming and advertisements, in accordance with the provisions of Sections 73.1943 and 73.3526 of the Rules and The Bipartisan Campaign Reform Act of 2002, and agrees that broadcasts of sponsored programming addressing political issues or controversial subjects of public importance will comply with the provisions of Section 73.1212 of the Rules. See Section 5. Programmer shall cooperate with Licensor to ensure compliance with the Rules regarding Emergency Alert System tests and alerts.
COOPERATION WITH LICENSOR. (a) Licensee agrees to cooperate with Licensor in the prosecution of any trademark or copyright application that Licensor may desire to file, or in the conduct of any litigation relating to the Property. Licensee shall supply to Licensor such samples, containers, labels, sales information and similar material and, upon Licensor's request, shall procure evidence, give testimony and cooperate with Licensor as may reasonably be required in connection with any such application or litigation. (b) With respect to all claims and actions, including actions in which Licensee is joined as a party; Licensor shall have the sole right to employ counsel of its choosing and to direct handling of the litigation and any settlement thereof. Licensor shall be entitled to receive and retain all amounts awarded as damages, profits or otherwise in connection with such actions. Upon Licensor’s request, Licensee shall assist Licensor in the enforcement of any rights of Licensor in the Property, and Licensor shall reimburse Licensee for its reasonable expenses incurred as a result of such cooperation.
