Common use of Cooperation of the Parties Clause in Contracts

Cooperation of the Parties. At the reasonable request of the responsible (as provided for in this Article 5) Party, the other Party agrees to cooperate fully in the preparation, filing, prosecution, enforcement and maintenance of any Program Patents under this Agreement. Such cooperation includes executing all papers and instruments (or causing its personnel to do so) reasonably useful to enable the other Party to apply for and to prosecute patent applications in any country; and promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution, enforcement or maintenance of any such Patents.

Cooperation of the Parties. At the reasonable request of the responsible (as provided for in this Article 5) Party, the other Party agrees to reasonable efforts to cooperate fully in the preparation, filing, prosecution, enforcement maintenance and defense of any Patents under this Agreement and in the obtaining and maintenance of any Program Patents under this Agreementpatent extensions, supplementary protection certificates and the like with respect to any Patent claiming an Invention. Such cooperation includes executing all papers and instruments (or causing its personnel to do so) reasonably useful to enable the other Party to apply for and to prosecute patent applications in any country; and promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparationincludes, filing, prosecution, enforcement or maintenance of any such Patents.but is not limited to:

Cooperation of the Parties. Such cooperation includes executing all papers and instruments (or causing its personnel to do so) reasonably useful to enable the other Party to apply for and to prosecute patent applications in any country; and includes, but is not limited to, promptly informing the other Party of any material matters coming to such Party’s attention that may affect the preparation, filing, prosecution, enforcement prosecution or maintenance of any such Licensed Patents.

Such cooperation includes executing all papers and instruments (or causing its personnel to do so) reasonably useful to enable the other Party to apply for and to prosecute patent applications in any country; and promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparationincludes, filing, prosecution, enforcement or maintenance of any such Patents.but is not limited to:

Cooperation of the Parties. Such cooperation includes includes, but is not limited to: (a) turning over to the Party to whom responsibility for Patent Management has been transferred, all files, papers and documents relating to such transferred Patent; (b) executing all papers and instruments (instruments, or causing requiring its personnel employees or agents, to do so) reasonably useful execute such papers and instruments, so as to effectuate the ownership of Patent Rights set forth in Section 11.1 and to enable the other Party to apply for and to prosecute patent applications Applications in any country; and (c) promptly informing the other Party of any matters coming to such Party’s 's attention that may affect the preparation, filing, prosecution, enforcement or maintenance Patent Management of any such PatentsApplication.
