Common use of Cooperate in Legal Proceedings Clause in Contracts

Cooperate in Legal Proceedings. Borrower shall, and shall cause Mortgage Borrower to, cooperate in all reasonable respects fully with Administrative Agent with respect to any proceedings before any Governmental Authority which may in any way adversely affect the rights of Administrative Agent, Collateral Agent and/or any Lender hereunder or any rights obtained by Administrative Agent, Collateral Agent and/or any Lender under any of the other Loan Documents and, in connection therewith, permit Administrative Agent, at its election, to participate in any such proceedings.

Cooperate in Legal Proceedings. Borrower shall, and shall cause Mortgage Borrower to, cooperate in all a commercially reasonable respects fully manner with Administrative Agent with respect to any proceedings before any court, board or other Governmental Authority which may in any way adversely affect the rights of Administrative Agent, Collateral Agent and/or or any Lender hereunder or any rights obtained by Administrative Agent, Collateral Agent and/or or any Lender under any of the other Loan Documents and, in connection therewith, permit Administrative Agent, at its election, to participate in any such proceedings.

Borrower shall, and shall cause Mortgage Borrower to, cooperate in all reasonable respects fully with Administrative Agent with respect to any proceedings before any court, board or other Governmental Authority which may would reasonably be expected to affect in any material adverse way adversely affect the rights of Administrative Agent, Collateral Agent and/or any Lender or Lenders hereunder or any rights obtained by Administrative Agent, Collateral Agent and/or any Lender under any of the other Loan Documents and, in connection therewith, permit Administrative Agent, at its election, to participate in any such proceedingsproceedings which may have a Material Adverse Effect.

Except with respect to any claim by Borrower shallagainst Administrative Agent and/or any Lender, and Borrower shall cause Mortgage Borrower to, cooperate in all reasonable respects fully with Administrative Agent and each Lender with respect to any proceedings before any court, board or other Governmental Authority which may in any way adversely affect the rights of Administrative Agent, Collateral Agent and/or any Lender hereunder or any rights obtained by Administrative Agent, Collateral Agent and/or any Lender under any of the Note, the Security Instrument or the other Loan Documents and, in connection therewith, permit Administrative AgentAgent and/or any Lender, at its their election, to participate in any such proceedings.

Borrower shallshall cooperate with the Administrative Agent, each Lender and shall cause Mortgage Borrower toIssuing Bank, cooperate in all reasonable respects fully with Administrative Agent as applicable, with respect to any proceedings before any court, board or other Governmental Authority which may in any way adversely affect the rights of such Administrative Agent, Collateral Agent and/or any each such Lender or Issuing Bank hereunder or any rights obtained by such Administrative Agent, Collateral Agent and/or any Lender or Issuing Bank under any of the other Loan Documents and, in connection therewith, permit such Administrative Agent, Lender or Issuing Bank, at its election, to participate in any such proceedings.

Borrower shall, shall and Parent shall cause Mortgage Borrower to, all Loan Parties to cooperate in all reasonable respects fully with Administrative Agent with respect to any proceedings before any court, board or other Governmental Authority which may in any way adversely affect the rights of Administrative Agent, Collateral Agent and/or any Lender hereunder or any rights obtained by Administrative Agent, Collateral Agent and/or any Lender under any of the other Loan Documents and, in connection therewith, permit Administrative Agent, at its election, to participate in any such proceedings.

Borrower shall, and shall cause Mortgage Borrower to, cooperate in all reasonable respects fully reasonably with the Administrative Agent with respect to any proceedings before any court, board or other Governmental Authority which may in any way adversely is reasonably likely to affect the rights of the Administrative Agent, Collateral Agent and/or any Lender or the Lenders hereunder or any rights obtained by the Administrative Agent, Collateral Agent and/or any Lender or the Lenders under any of the other Loan Documents and, in connection therewith, permit the Administrative Agent, at its electionelection by written notice, to participate in any such proceedings.

Cooperate in Legal Proceedings. Each Borrower shall, and shall cause Mortgage Borrower to, reasonably cooperate in all reasonable respects fully with the Administrative Agent with respect to any proceedings before any court, board or other Governmental Authority which may in any way adversely affect the rights of the Administrative Agent or the Collateral Agent, Collateral Agent and/or any Lender in each case, on behalf of the Secured Parties hereunder or any rights obtained by the Administrative Agent, Agent or the Collateral Agent and/or any Lender under any of the other Loan Documents and, in connection therewith, permit the Administrative Agent or the Collateral Agent, at its election, to participate in any such proceedings.

Borrower shall, and shall cause Mortgage Borrower to, reasonably cooperate in all reasonable respects fully with Administrative Agent with respect to any proceedings before any court, board or other Governmental Authority which may in any way adversely affect the rights of Administrative Agent, Collateral Agent and/or any Lender hereunder or any rights obtained by Administrative Agent, Collateral Agent and/or any Lender under any of the other Loan Documents and, in connection therewith, permit Administrative Agent, at its election, to participate in any such proceedingsproceedings which may have a Material Adverse Effect.
