Conversion Costs. Management Services and Outdoor acknowledge and agree that in connection with the implementation, provision, receipt and transition of the Services, there will be certain nonrecurring, out-of-pocket conversion costs incurred by Management Services, Outdoor and their respective Groups (“Conversion Costs”). With respect to each Service, the Recipient of the Service will either reimburse the Provider as incurred for all actual, out-of-pocket Conversion Costs incurred by the Provider and related to such Service or, after consultation with the Provider, pay such Conversion Costs directly on an as-incurred basis, in either case regardless of whether the Recipient replaces such Service with the same application, system, vendor or other means of effecting the Service. Prior to payment of, or reimbursement for, such actual out-of-pocket Conversion Costs, the Provider will provide the Recipient with an invoice accompanied by reasonably detailed data and documentation sufficient to evidence the out-of-pocket expenses for which the Provider is seeking payment or reimbursement. Upon receipt of such invoice and data and documentation, the Recipient will either pay the amount of such invoice directly in accordance with its general payment terms with vendors or reimburse the Provider for its payment of the invoice within 30 days of the date of its receipt of such invoice. If the Recipient disputes the invoiced amount, then the dispute will be resolved pursuant to Section 8.2. Management Services and Outdoor acknowledge and agree that no prior approval will be required from the Recipient for the Provider to seek any reimbursement for Conversion Costs pursuant to this Section 5.3.
Conversion Costs. In the event the Sub-Administrator is terminated for cause or terminates this Agreement other than for cause, the Sub-Administrator shall reimburse USBAM for reasonable out of pocket expenses related to USBAM's conversion process, including the cost of transferring the Fund's records to a successor sub-administrator. The Sub-Administrator agrees to assist USBAM with the transfer of records in a diligent and professional manner.

Conversion Costs. If Introducing Firm terminates this Agreement pursuant to Section 22.1, 22.2 or 22.3 above, Introducing Firm shall promptly pay all reasonable expenses directly related to the transition of Introducing Firm’s business to any successor Clearing Agent.

Conversion Costs. The cost of initial installation to convert existing lines/circuits will be the responsibility of the CONTRACTOR as part of doing business with the State. One-time installation charges for subsequent service may be charged to the appropriate government agency or institution. In addition, the CONTRACTOR is prohibited from offering any other services (long distance, Internet, etc.) to agencies, institutions, boards or commissions of the State other than the local services specified in this Agreement. However, OIR may elect to add additional services, if it is advantageous to the State.
Conversion Costs. You shall take all necessary steps to, and shall, promptly convert to our system for the Services in this Agreement not later than 90 days after we approve your Application. We agree that we will not charge you for our standard and customary internal testing and conversion preparation only, in connection with your initial conversion to our system at the commencement of this Agreement, and as determined by us in our sole reasonable discretion. The foregoing shall not be deemed to limit your obligation to pay any third party fees and expenses incurred by us in connection with your conversion, which shall remain your sole responsibility. After your initial conversion to us, you agree to pay all direct and indirect costs (including those we, our affiliates, or our agents incur) related to any conversion to or from us, as applicable, and/or relating to any programming effort affecting the Services.
