The City of University City will determine which materials are to be tested. The form and content of these test reports shall be in accordance with recognized standards and practices for this work or as otherwise determined by the City of University City, No direct payment will be made for this work. CONTROL OF MATERIAL. Recipient and Scientist agree to retain control over ------------------- Material and not to transfer Material to any third person or entity without first obtaining GenVec's written consent. GenVec, reserves the right to distribute Material to others and use Material without restriction for its own purposes.

The Contractor must make every effort to control the nature of the material allowed into the DMS, with the objective being to have only C&D materials, clean woody debris, household debris (other than regular household waste and hazardous materials) and similar materials brought to and deposited in the DMS. All materials brought to the DMS by vehicles under the Contractor’s control but not accepted at the DMS must be disposed of by the Contractor at an approved landfill or by other legal means of disposal.

The supplier requirements of both materials must be met to sustain all warranties provided by the supplier. No alterations to the plans provided in Attachment are allowed without approval of the supplier and supplied to the Project Engineer for record.

The Contractor shall use the Request for Approval of Material Sources (RAMS) form. These sources must be approved by the Engineer before delivery to the project site begins. The Contractor may utilize pre-approved materials shown on the Qualified Products List (QPL), but submittal of such items shall be documented on a RAMS.

For the purposes hereof, “third parties” shall not include those employees and consultants of G97023 Company who will be involved in the handling, testing and/or evaluation of the Material under Section 2, provided such employees and consultants have entered into written confidentiality agreements required under Section 4. The Material shall remain the property of Fund, and Fund shall be given written notice of the transfer of the Material to any facility of Company, other than the facility to which they are initially delivered. Upon termination of this Agreement, as detailed in Section 11, Company shall discontinue its use of the Material and shall, upon the written request of Fund, return any unused Material to Fund and/or destroy the Material.
