Control of Business Pending Closing. Nothing contained in this Agreement shall give Buyer, directly or indirectly, rights to control or direct the operations of Sellers or their Affiliates prior to the Closing. Prior to the Closing, Sellers shall exercise, consistent with the terms and conditions of this Agreement and subject to the express limitations of Section 5.1.1, complete control and supervision of the operation of the Business.
