Contributor’s Conditions to Closing. The obligations of the Contributor hereunder are subject to the satisfaction of the conditions set forth below on or before the Closing:

Contributor’s Conditions to Closing. The obligation of Contributor to consummate Closing is subject to the fulfillment of each of the following conditions (except to the extent waived in writing by Contributor in its sole discretion, to the extent permitted by applicable Law) as of the Closing:

Contributor’s Conditions to Closing. Notwithstanding any other provision hereof, the obligation of the Contributors to proceed to consummate the transaction contemplated hereby shall be subject to the condition, unless waived in writing, as of the Closing, that each of the representations and warranties of ERP contained herein shall remain true and correct in all material respects and that the Effective Time shall have occurred.
